BACKGROUND AND PURPOSE OF THE OFFER; CERTAIN EFFECTS OF THE OFFER. On January 15, 1998, Telesoft completed the sale of its GoodNet subsidiary, an Arizona-based internet service provider, to WinStar Communications Inc. for $3.5 million in cash and 479,387 WinStar restricted common shares. Substantially all of such WinStar shares were sold in 1998 resulting in net cash proceeds to Telesoft of approximately $13.7 million. Telesoft has explored ways in which to deploy such excess cash and enhance stockholder value, including by making investments in its existing business, acquiring complementary or new businesses or by distributing cash to stockholders in the form of dividends or through repurchases of shares. During 1999, Telesoft invested significantly in its core business and expects to continue to invest in its software development initiatives. However, Telesoft's management believes that its available cash is still in excess of its reasonably foreseeable need for cash for research and development purposes. Telesoft's management has established strategic and financial criteria that potential acquisitions must meet for consideration. To date, Telesoft's management has been unable to identify any potential acquisition candidates meeting such criteria. As a result of the foregoing, Telesoft's management determined to recommend to the Board of Directors that excess cash be used to repurchase shares of its common stock including the shares owned by Xxxxxx X. Xxxxxx, Telesoft's Chairman and retiring Chief Executive Officer and President, and from Telesoft's other stockholders. On February 2, 2000, Xxxxxxxx agreed to purchase from Xxxxxx X. Xxxxxx, Xxxxxxxx's Chairman and retiring Chief Executive Officer and President, 293,750 shares, constituting all of Xx. Xxxxxx'x shares, at the earlier of (1) the time Telesoft is deemed to have accepted for payment (and therefore purchased) shares in the offer and (2) March 31, 2000. The purchase price for such shares will be $7.25, the average of the high and low purchase prices in the offer. The Board of Directors agreed to repurchase Xx. Xxxxxx'x shares in connection with Xx. Xxxxxx'x retirement as Chief Executive Officer and President of Telesoft. The Board of Directors believes that repurchase of Xx. Design, Inc. believes it has adequate sources of capital, including presently anticipated borrowing capacity under its bank credit facility, to complete the shares repurchase and pursue business opportunities. The offer provides stockholders who are considering a sale of all or a portion of their shares the opportunity to determine the price or prices (not greater than $3.00 nor less than $2.20 per share) at which they are willing to sell their shares and, if any of such shares are purchased pursuant to the offer, to sell those shares for cash to Designs, Inc. without the usual costs associated with a market sale. The offer gives stockholders an opportunity to sell their shares on potentially more favorable terms than would otherwise be available. Designs, Inc. believes that for the past two years there has been limited liquidity in the marketplace for its stock and small purchases or sales can cause significant fluctuations in the stock price. The offer will permit stockholders who want to sell their stock to do so in a more liquid and stable market. The offer would also allow Odd Lot Owners whose shares are purchased pursuant to the offer to avoid both the payment of brokerage commissions and any applicable odd lot discounts payable on sales of odd lots on a securities exchange. To the extent the purchase of shares in the offer results in a reduction in the number of stockholders of record, the costs to Designs, Inc. for services to stockholders should be reduced.   • TERMINATION OF THE OFFERING The undersigned understands that the Company may terminate the offering at any time and for any reason. The Guarantor agrees that its obligations hereunder shall not be released or discharged (except in the case where this Limited Guarantee is terminated in accordance with Section 8), in whole or in part, or otherwise affected by (i) the failure or delay on the part of the Guaranteed Party to assert any claim or demand or to enforce any right or remedy against Parent, Merger Sub or any Other Guarantor, (ii) any change in the time, place or manner of payment of the Obligations or any rescission, waiver, compromise, consolidation or other amendment or modification of any of the terms or provisions of the Merger Agreement made in accordance with the terms thereof or any agreement evidencing, securing or otherwise executed in connection with the Obligations (in each case, except in the event of any amendment to the circumstances under which the Obligations are payable), (iii) any legal or equitable discharge or release (other than a discharge or release as a result of payment in full of the Guaranteed Percentage of the Obligations in accordance with their terms, a discharge or release of Parent and/or Merger Sub with respect to the Obligations under the Merger Agreement, or as a result of defenses to the payment of the Obligations that would be available to Parent and/or Merger Sub under the Merger Agreement) of any person now or hereafter liable with respect to any of the Obligations or otherwise interested in the Transactions, (iv) any change in the corporate existence, structure or ownership of Parent, Merger Sub or any other person now or hereafter liable with respect to any of the Obligations or otherwise interested in the Transactions, (v) any insolvency, bankruptcy, reorganization or other similar proceeding affecting Parent, Merger Sub or any other person now or hereafter liable with respect to any of the Obligations or otherwise interested in the Transactions, (vi) the existence of any claim, set-off or other right which the Guarantor may have at any time against Parent or Merger Sub or the Guaranteed Party, whether in connection with the Obligations or otherwise, or (vii) the adequacy of any other means the Guaranteed Party may have of obtaining payment of the Obligations.

  • Absence of Defaults and Conflicts Resulting from Transaction The execution, delivery and performance of this Agreement and the issuance and sale of the Offered Securities will not result in a breach or violation of any of the terms and provisions of, or constitute a default or a Debt Repayment Triggering Event (as defined below) under, or result in the imposition of any lien, charge or encumbrance upon any property or assets of the Company or any of its subsidiaries pursuant to, (i) the charter or by-laws of the Company or any of its subsidiaries, (ii) any law, statute or ordinance, or any rule, regulation, injunction or order of any governmental agency, including without limitation, the United States Food and Drug Administration (the “FDA”), or body or any court, domestic or foreign, having jurisdiction over the Company or any of its subsidiaries or any of their properties, or (iii) any agreement or instrument to which the Company or any of its subsidiaries is a party or by which the Company or any of its subsidiaries is bound or to which any of the properties of the Company or any of its subsidiaries is subject, except, in the case of clauses (ii) or (iii) only, as would not, individually or in the aggregate, result in a Material Adverse Effect; a “Debt Repayment Triggering Event” means any event or condition that gives, or with the giving of notice or lapse of time would give, the holder of any note, debenture, or other evidence of indebtedness (or any person acting on such holder’s behalf) the right to require the repurchase, redemption or repayment of all or a portion of such indebtedness by the Company or any of its subsidiaries.

  • Certain Effects of the Merger At and as of the Effective Time, (a) Newco will be merged with and into the Company in accordance with the provisions of the Indiana Business Corporation Law, (b) Newco will cease to exist as a separate legal entity, (c) the articles of incorporation of the Company will be amended to change its authorized capital stock to 100 shares, par value $0.01 per share, of Common Stock, (d) the Company will be the Surviving Corporation and, as such, will, all with the effect provided by the Indiana Business Corporation Law, (i) possess all the properties and rights, and be subject to all the restrictions and duties, of the Company and Newco and (ii) be governed by the laws of the State of Indiana, (e) the Charter Documents of the Company then in effect (after giving effect to the amendment of the Company's articles of incorporation specified in clause (c) of this sentence) will become and thereafter remain (until changed in accordance with (i) applicable law (in the case of the articles of incorporation) or (ii) their terms (in the case of the bylaws)) the Charter Documents of the Surviving Corporation, (f) the initial board of directors of the Surviving Corporation will be the Chief Executive Officer of RW and the other persons named in Schedule 2.03, and those persons will hold the office of director of the Surviving Corporation subject to the provisions of the applicable laws of the State of Indiana and the Charter Documents of the Surviving Corporation, and (g) the initial officers of the Surviving Corporation will be as set forth in Schedule 2.03, and each of those persons will serve in each office specified for that person in Schedule 2.03, subject to the provisions of the Charter Documents of the Surviving Corporation, until that person's successor is duly elected to, and, if necessary, qualified for, that office.
