Background Information and Certificates. All of the factual information contained or referred to in Section 1 of this Agreement and in the Exhibits to this Agreement or the other Loan Documents, and in the certificates and opinions furnished to Lender by or on behalf of Borrower in connection with the Property or the Loan, is true, accurate and complete in all material respects, and omits no material fact necessary to make the same not misleading.

Borrower has delivered to Administrative Agent accurate and complete copies of all the organizational documents of the Borrower, the General Partner, any other member of the Combined Group and each Portfolio Investment Entity.
