Common use of Benefits Clause in Contracts

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in benefits under any benefit plan or arrangementplans, including medicalprograms and arrangements of the Company, dental, vision, disability and life insurance programs, that may be as in effect from time to time (including, without limitation, medical and made available to the Company’s senior management employees, subject to the terms dental insurance and conditions of those benefit plansa 401(k) plan).

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in or receive benefits under any group health or other executive benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect from time to time and arrangement made available by the Company to the Company’s its senior management employeesexecutive officers, subject to and on a basis consistent with the terms terms, conditions and conditions overall administration of those benefit planssuch plans and arrangements.

Benefits. The Executive shallmay participate in all medical, dental and disability insurance, 401(k), personal leave and other employee benefit plans and programs of the Company for which Executive is eligible, provided, however, that Executive’s participation in accordance with Company policy benefit plans and programs is subject to the applicable plan documentsterms, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability conditions and life insurance eligibility requirements of these plans and programs, that some of which are within the plan administrator’s discretion, as they may be in effect exist from time to time time. The Company shall pay annual dues and made available to expenses for Executive’s membership and participation in such professional organizations as may be approved by the Company’s senior management employees, subject to the terms and conditions of those benefit plansBoard.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, arrangement that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any Company benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that arrangement which may be in effect from time to time and made available to the Company’s senior its executive management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that arrangement which may be in effect from time to time and made available to the Company’s senior management employees. In addition, subject the Executive shall be eligible for paid vacation, in accordance with Company policy as in effect from time to the terms and conditions of those benefit planstime.

Benefits. The Executive shallshall be entitled to receive such benefits and to participate in such employee group benefit plans, including life, health and disability insurance policies, and financial planning services, and other perquisites and plans as are generally provided by the Company to its senior executives of comparable level and responsibility in accordance with Company policy the plans, practices and programs of the applicable plan documentsCompany, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect as amended from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit planstime.

The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in benefits under any employee benefit plan or arrangementplans, including medicalprograms and arrangements of the Company, dental, vision, disability and life insurance programs, that may be as in effect from time to time (including, without limitation, medical and made available to the Company’s senior management employees, subject to the terms dental insurance and conditions of those benefit plansa 401(k) plan).

The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, arrangement that may be in effect from time to time and made available to the Company’s 's senior management employees, subject to the terms . The During the Term, and provided that the Executive shallsatisfies, in accordance with Company policy and continues to satisfy, any plan eligibility requirements, the applicable plan documents, Executive shall be eligible entitled to participate in in, and receive benefits under under, any retirement savings plan or welfare benefit plan or arrangementmade available by the Company to similarly-situated Executives, including medical, dental, vision, disability and life insurance programs, that as such plans may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit planstime.

Benefits. The During the Term, the Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in benefits under any employee benefit plan or arrangementplans, including medicalprograms and arrangements of the Company, dental, vision, disability and life insurance programs, that may be as in effect from time to time (such plans may include health care, dental, vision, prescription, flexible spending, short-term and made available to the Company’s senior management employeeslong-term disability, subject to the terms life insurance and conditions of those benefit 401(k) plans, programs and arrangements).

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in and receive the benefits under any deferred compensation plan, health, life, accident and disability insurance plans or programs and any other employee benefit plan or arrangementfringe benefit plans or arrangements that the Company makes available generally to other senior executives of the Company, including medical, dental, vision, disability and life insurance programs, that may be pursuant to the provisions of such plans or arrangements as in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit planstime.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, visionany 401(k) plan with Company matching, disability insurance plan and life insurance programsplan, that may be in effect from time to time and made available to the Company’s senior management employees, subject including with respect to additional coverage for spouses, domestic partners and eligible dependents. Notwithstanding the terms and conditions of those benefit plansforegoing, the Executive shall not be entitled to participate in any Company severance plan or program except as set forth in Section 4.5.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible entitled to participate in benefits under any all employee benefit plan plans which the Company provides or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect establish from time to time and made available to for the Company’s senior management benefit of its employees, subject to the terms including, without limitation, group life, medical, surgical, dental and conditions of those benefit plansother health insurance, short and long-term disability, deferred compensation, profit-sharing, paid vacation and similar benefits.

Benefits. The Executive shallshall be entitled to receive such benefits and to participate in such employee group benefit plans, including life, health and disability insurance policies, as are generally provided by the Company to its senior executives in accordance with Company policy the plans, practices and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect from time to time and made available to programs of the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy policies and the terms of applicable plan documents, be eligible to participate in benefits under any executive benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that arrangement which may be in effect from time to time and made available to the Company’s senior its executive or key management employees, subject to the terms and conditions of those . Company may modify or cancel its benefit plansplan(s) as it deems necessary.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, arrangement that may be in effect from time to time and made available to the Company’s senior management executive level employees, subject to the terms and conditions of those benefit plans.

Benefits. The During the Term, the Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible entitled to participate in benefits under any all employee benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, plans that may be in effect from time to time and are generally made available to other employees of the Company’s senior management employees, subject to the terms and conditions of those such benefits and plans and, as such benefits and plans may be changed by the Company from time to time. Such benefits include, but not limited to, (i) group medical insurance coverage, (ii) group life insurance coverage and (iii) certain stock option plans. The Company reserves the right to amend or terminate any employee benefit plansplans at any time in its sole discretion, subject to the terms of such employee benefit plan and applicable law.

Benefits. The During the Term, Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in benefits under any employee benefit plan or arrangementplans, programs and arrangements of the Company (including medical, dental, vision, life insurance, disability insurance and life insurance programsdefined contribution 401(k) plan) made available to other similarly-situated employees of the Company, that consistent with the terms thereof and as such plans, programs and arrangements may be in effect amended from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit planstime.

Benefits. The During the employment, Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in the comprehensive benefits under any benefit plan or arrangementplans of the Company from time to time, including which includes medical, dental, vision, disability dental and life insurance programs, that options subject to plan terms and generally applicable Company policies. A full description of these benefits is available upon request. The Company may be in effect change compensation and benefits from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plansin its discretion.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, will also be eligible entitled to participate in benefits under any and all Company benefit plan or arrangementplans, including medical, dental, vision, disability and life insurance programs, that may be in effect from time to time and made available to time, in effect for employees of the Company’s senior management employees, . Executive acknowledges that the benefits offered by the Company may change from time to time.

The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible entitled to participate in benefits under such benefit plans including, without limitation, any benefit plan or arrangementand all retirement, including medicaldisability, group life, sickness, accident, vision, dental, vision, disability and life health insurance programs, that as the Company may be in effect provide from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plansits employees generally.

The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible entitled to participate in benefits under such benefit plans including, without limitation, any benefit plan or arrangementand all retirement, including medicaldisability, group life, sickness, accident, vision, dental, vision, disability and life health insurance programs, that as the Company may be in effect provide from time to time and made available to its employees generally. The Executive shall be allowed to enroll in the health insurance benefits provided by the Company on the first day of Executive’s employment with the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, will be eligible to participate in benefits under any the employee benefit plan or arrangementplans generally available to the Company’s executives including, including without limitation, medical, dental, vision, disability disability, life insurance, 401k plan and life insurance programs, that may be in effect from time to time and made available to the Company’s senior management employeesmembership fees for professional organizations, subject to the terms and conditions of those benefit planseach respective plan, as amended (collectively, the “Benefits”).

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, arrangement that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any executive benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that arrangement which may be in effect from time to time and made available to the Company’s senior executive or key management employees, subject to including but not limited to: the terms Company’s Change in Control Employee Severance Benefit Plan, Deferred Compensation Plan, 401K Savings Plan, Employee Stock Purchase Plan, group health insurance, disability insurance, life insurance, and conditions of those benefit planspaid personal leave.

The Executive shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, 401(k), pension, disability and life insurance programs, that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

The During the Term of this Agreement, Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible entitled to participate in benefits under any employee benefit plan or arrangementprogram established by the Company for its senior executives or other employees including, including but not limited to, medical, prescription, dental, visiondisability, disability life, accidental death or other insurance plans and life insurance programs, that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plansany deferred compensation or retirement plan or program.

The Company reserves the right to amend or cancel any employee benefit plans at any time and made available to the Company’s senior management employeesin its sole discretion, subject to the terms of such employee benefit plan and conditions of those benefit plansapplicable law.

The Executive shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, 401(k), pension, disability and life insurance programs, that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, arrangement that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, shall be eligible to participate in benefits under any employee benefit plan or arrangementplans, including medicalprograms and arrangements of the Company, dental, vision, disability and life insurance programs, that may be as in effect from time to time (such plans may include health care, dental, vision, prescription, flexible spending, short-term and made available long-term disability, life insurance and 401(k) plans, programs and arrangements). Executive will be immediately eligible for such benefits to the extent possible under the particular plans, programs and arrangements of the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

Benefits. The Executive shall, in accordance with Company policy and the applicable plan documents, will be eligible to participate in benefits under any applicable employee benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be plans as are in effect from time to time and made available to the Company’s senior management employeestime, which shall include coverage for his immediate family, subject to and in accordance with the terms and conditions of those benefit such plans.

The Executive shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, programs that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit plans.

The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any executive benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that arrangement which may be in effect from time to time and made available to the Company’s senior executives or key management employees, including flexible Paid Time Off subject to the terms and conditions of those benefit plansthe Company’s PTO Policy. Executive acknowledges that the benefits offered by the Company may change from time to time in the discretion of the Company.

Benefits. The Executive shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, arrangement that may be in effect from time to time and made available to the Company’s senior management employees, subject to the terms . The Executive shallshall be entitled to receive such benefits and to participate in such employee group benefit plans, including life, health and disability insurance policies, and financial planning services, and other perquisites plans as are generally provided by the Company to its senior executives of comparable level and responsibility in accordance with Company policy the plans, practices and programs of the applicable plan documentsCompany, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect as amended from time to time and made available to the Company’s senior management employees, subject to the terms and conditions of those benefit planstime.

The Company reserves the right to suspend, amend or terminate any employee benefit plan or program at any time.
