BROKER PARTICIPATION. The Seller will pay a two and one half (2.5%) commission at closing, based on the final bid price, to the qualified Real Estate Broker/Agent representing Winning Bidders and who properly registered their clients for the Auction and participated in the Auction with their clients. Each Broker must register and execute with Client by filling out the Broker/Agent Registration form provided by PEAC; available at xxx.XxxxxxxxXxxxxxx.xxx. In order to receive the full 2.5% commission, the Broker Registration Form must be submitted before the deadline of June 15th Noon PT and the transaction closes. Participating Brokers are responsible for inspecting the Property being purchased by their client in advance of the Auction, and must accompany their client through the entire process of executing the Purchase Contract and opening escrow. If the participating Broker does not sign the Purchase Contract then it shall not be entitled to a commission from the Seller.

BROKER PARTICIPATION. Sublandlord warrants and represents that it has dealt with no real estate broker in conjunction with this Sublease other than Xxxxx Xxxx LaSalle and Colliers International (collectively, “Sublandlord’s Brokers”). Subtenant warrants and represents that it has dealt with no real estate broker in conjunction with this Sublease other than CB Xxxxxxx Xxxxx (“Subtenant’s Broker”). Sublandlord shall pay and be responsible for the commission due to Sublandlord’s Brokers and the Subtenant’s Broker pursuant to a separate agreement between Sublandlord and Sublandlord’s Brokers. Sublandlord and Subtenant each warrants and represents to the other that no other brokers are entitled to any commission on account of this Sublease, and each agrees to hold the other harmless from and against any and all costs (including reasonable attorneys’ fees), expenses or liability for any compensation, commission and charges claimed by any broker other than those identified in this Section 12, through such party with respect to this Sublease.
BROKER PARTICIPATION. In consideration for brokerage services rendered to Landlord in this transaction, Landlord shall pay its and Tenant’s brokers (which brokers are identified in Subsection 1.1.10 above). Landlord shall pay its broker a commission as set forth in a separate agreement between such parties. Landlord shall pay Tenant’s broker a commission equal to One Dollar and 50/100 ($1.50) per rentable square foot per year of direct lease term (prorated for partial years and capped at Ten Dollars ($10.00). One-half of the commission due to Tenant’s broker for the Premises shall be paid on full execution and delivery of this Lease. The remaining one-half of the commission due to Tenant’s broker shall be paid, for the eighth (8th) floor, upon the commencement of Tenant’s occupancy thereof, and for the fifth (5th), sixth (6th) and seventh (7th) floors, on or before June 15, 2008. Except as otherwise set forth in the preceding sentences, each party agrees to indemnify, defend, and hold harmless the other party from any claim or loss arising out of any actual or alleged dealings of the indemnifying party with any real estate broker, agents or finder in connection with this transaction.
BROKER PARTICIPATION. Landlord and Tenant agree, understand and recognize that there are no brokers other than CBRE, Inc. and J Street Companies (“Brokers”) participating in this transaction and that Landlord will compensate Brokers under terms of a separate agreement.

BROKER PARTICIPATION. A qualified, duly licensed Alabama real estate broker whose prospect is the successful bidder at the auction, and who closes the sale of the property, will be entitled to receive a commission based on 2% of the prospect’s written opening bid for the property, excluding the buyer’s premium, and 1% of the difference between the prospect’s written opening bid and the prospect’s successful bid for the property, also excluding the buyer’s premium. To qualify for the commission, a broker must first register the prospect, using the attached “BROKER PARTICAPATION REGISTRATION FORM” , printed on the broker’s letterhead, mailed, faxed or hand delivered to United Country. The registration must include the signatures of the broker and prospect, the broker’s real estate license number, and the prospect opening bid for the property. The registration must be received by United Country at least 48 hours prior to commencement of the auction. UNDER NO CURCUMSTANCES

("Broker") and CB Xxxxxxx Xxxxx and that no other broker is ---------------- entitled to any commission on account of this Sublease. Sublessor and Sublessee shall each indemnify, hold harmless and defend the other form any and all claims, actual or threatened, for compensation by any such third person, by reason of Sublessor's or Sublessee's breach of its representations contained in this paragraph.

Subtenant warrants and represents that it has dealt with no real estate broker in conjunction with this Sublease other than Corporate Facility Consulting, Inc. Sublandlord shall pay and be responsible for the commissions due to The Staubach Company under the terms of a separate commission agreement between Sybase and The Staubach Company. Sublandlord and Subtenant each warrants and represents to the other that no other brokers are entitled to any commission on account of this Sublease, and each agrees to hold the other harmless from and against any and all costs (including reasonable attorneys' fees), expenses or liability for any compensation, commission and charges claimed by any broker other than those identified in this Section 11, through such party with respect to this Sublease.
BROKER PARTICIPATION. Sublandlord and Subtenant warrant and represent that they have dealt with no real estate broker in connection with this Sublease other than Marcus & Millichap (hereinafter "Broker") and Starboard Commercial Brokerage, and that no other broker is entitled to any commission on account of this Sublease. Sublandlord and Subtenant shall indemnify, defend and hold the other harmless from and against any and all liability, loss, cost and damage (including reasonable attorneys' fees) for any claim for a brokerage commission other than as specified herein. The indemnifying party shall be the party upon whose acts the broker(s) is claiming a commission.
BROKER PARTICIPATION. In consideration for brokerage services rendered to Landlord in this transaction, Landlord shall pay its licensed real estate broker named in Subsection 1.1(j) a commission as set forth in a separate agreement between Landlord and said broker. Tenant's broker, if any is named in Subsection 1.1(j), will be paid its commission from a portion of the commission paid to Landlord's Broker, as set forth in a separate agreement between Landlord's Broker and Tenant's Broker. Except as otherwise set forth in the preceding sentence, each party agrees to indemnify, defend, and hold harmless the other party from any claim or loss arising out of any actual or alleged dealings of the indemnifying party with any real estate broker, agents or finder in connection with this transaction.
