Brokers and Consultants. To the extent any broker or consultant receives PHI in the underwriting process or while advocating on behalf of a Member, Contract Xxxxxx understands and agrees that such broker or consultant is acting on behalf of Contract Holder and not Us. We are entitled to rely on Contract Holder’s representations that any such broker or consultant is authorized to act on Contract Xxxxxx’s behalf and entitled to have access to the PHI under the relevant circumstances.
Brokers and Consultants. No broker, finder or consultant acting on behalf of the Parent or any of its Subsidiaries brought about the obtaining, making or closing of the loans made pursuant to this Agreement, and neither the Parent nor any Subsidiary thereof has any obligation to any Person in respect of any finder's, consulting or brokerage fees in connection with the Loan contemplated by this Agreement.

Brokers and Consultants. No investment banker, broker or finder other than Xxxxx, Xxxxxxxx & Xxxxx, Inc. (“KBW”), the fees and expenses of which will be paid by the Company, is entitled to any investment banking, brokerage, finder’s or similar fee or commission in connection with this Agreement or the transactions contemplated hereby based upon arrangements made by or on behalf of the Company or any of its Subsidiaries. No consultants or similar third parties other than JMP Securities LLC, the fees and expenses of which will be paid by the Company, is entitled to any consulting or similar fee in connection with this Agreement or the transactions contemplated hereby.
Brokers and Consultants. Except as set forth in the Schedule of Exceptions, the Company has no contract, arrangement or understanding with any broker, finder or consultants with respect to the transactions contemplated by this Agreement, nor will any such person be entitled to any compensation, fee or commission, directly or indirectly, from the Company or any of its stockholders, officers or directors in connection with any of the transactions contemplated hereby.

The Purchaser has employed no broker ----------------------- or agent in connection with this Agreement, and agrees to indemnify the other parties hereto against all loss, cost, damages or expense arising out of claims for fees or commissions of brokers employed or alleged to have been employed by the Purchaser.
Brokers and Consultants. The parties represent and warrant to each other that the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby will not give rise to any valid claim for a finder's fee, brokerage commission, or other like payment.

The parties warrant that they have had no dealings with any real estate broker or agent in connection with this Sublease, except Xxxxxxx & Xxxxxxxxx of Florida, Inc. as the Sublandlord’s broker, and Equis Corporation, the Subtenant’s broker (collectively, the “Brokers”). Each party covenants to hold harmless, indemnify and defend the other from and against any and all costs, expenses or liabilities for any compensation commissions and charges claimed by any other broker or agent with respect to this Sublease or the negotiation thereof, based upon alleged dealings with the indemnifying party. Sublandlord agrees to pay the commissions of the Brokers in accordance with separate agreement between Sublandlord and C&W, pursuant to which C&W will share such commission payment with Equis Corporation.
Brokers and Consultants. Viewpoint Securities, LLC is the Company's investment bankers and will receive a cash commission equal to 5% of the Note as a result of the transactions contemplated by the Loan Documents.
