Buffer Inventory. Foundry shall maintain a buffer inventory of at least **** of Contract Wafers for each Company Product based on the then current **** (“Buffer Inventory”). Foundry may ship any Buffer Inventory that has been held by Foundry for more than **** days and invoice Company for the current price for the product so shipped. Foundry shall ship Contract Wafers from Buffer Inventory on an FIFO basis, and shall only invoice Company for such Contract Wafers when shipped to Company.

Buffer Inventory. In addition to providing the quantity of Wafers necessary to fill Ramtron's purchase orders, TI will establish and maintain throughout the Term (as defined in Section 13.1), an additional inventory of partially completed Wafers (the "Buffer Inventory"). During the term of this Agreement TI shall notify Ramtron in writing no later than the end of each calendar quarter of the total actual number of Wafers in the Buffer Inventory, and the Buffer Inventory which TI is entitled to ship to Ramtron pursuant to subsection 3.7(e) below. (a) For the avoidance of doubt, partially completed Wafers will include contact deposition processing, but will not include chemical mechanical planarization ("CMP") processing. (c) TI will fill purchase orders from the Buffer Inventory on a "First In-First Out" (FIFO) basis and will continuously replenish the Buffer Inventory to maintain the required quantity of Wafers. (d) In the event Ramtron consumes part, or all, of Buffer Inventory in support of upside demand, TI agrees to replenish the Buffer Inventory by no later than thirty (30) days from the date such Buffer Inventory is consumed. (f) Ramtron will notify TI in writing if, and when, Ramtron decides that its needs for TI to supply the FRAM Device will be discontinued ("EOL"). Such notice must be given in advance of the Lead-time ("EOL Notice"). Upon receipt of EOL Notice, TI will adjust its manufacturing schedule so that, to the extent possible, Buffer Inventory will be depleted by purchases by Ramtron. In the event Buffer Inventory is not depleted, Ramtron will be invoiced for such Buffer Inventory in accordance with Section 5.1.
Buffer Inventory. Supplier will maintain a reasonable amount of buffer inventory at component level based on complete set as mutually agreed to by the parties throughout the Term of the Agreement. The percentage of buffer inventory is based on the table in Section 3.3. Designated Third Parties must receive written authorization from Gigamon to place an expedited purchase order against release from the buffer inventory.

Buffer Inventory. RSI will supply Distributor with a recommended Spare Parts stocking list which will be utilized by Distributor as a guide in meeting its stocking requirements. RSI agrees to hold a mutually established quantity of Product and Spare Parts for emergency stocking purposes. Distributor may draw on these inventories without restriction until the quantities are exhausted. RSI agrees to rotate this inventory on a first in first out basis. Within sixty (60) days of termination of this Agreement, Distributor agrees to purchase the Product and Spare Parts held in these buffer inventories.
Buffer Inventory. 6.1. Throughout the duration of this agreement and notwithstanding the existence or not of any open IAI Purchase Orders, Seller will maintain, at no additional cost to IAI, a buffer inventory of the Parts set forth in Appendix “A” in order to support IAI’s production line in the event: — of stoppages on IAI’s production line arising from rejected and/or damaged and/or lost and/or scrapped Parts; — that IAI increases its required monthly rate of delivery; or — that Seller's normal production schedule is interrupted due to unforeseen / uncontrollable events arising. 6.2. The said buffer Inventory shall be comprised of sufficient shipsets of each Part set forth in Appendix “A” to support IAI’s required delivery rate for three (3) months (as at the date of signature hereof IAI’s monthly delivery rate for G200 is two (2) shipsets and for the G150 – [TBD]). 6.3. Seller will be required in writing to adjust its buffer inventory in accordance with any notification of change in IAI’s required monthly rate of delivery and / or any change in the quantity of any Part required per shipset. 6.4. Seller shall be required to update its buffer inventory to the latest configuration at all relevant times and shall replenish such inventory whenever same is depleted for any reason as soon as possible but no later than four (4) weeks after such depletion. 6.5. Seller’s buffer inventory shall be available for shipment to IAI within one (1) Business Day of Seller’s receipt of IAI’s request therefor via facsimile or e-mail. 6.6. Seller shall provide IAI, on IAI’s request in writing and discretion, at any time, a full status report of all Parts in Seller’s buffer inventory. 6.7. On giving Seller reasonable written notice, IAI’s representatives shall be granted access to Seller’s premises in order to inspect the status of Seller’s buffer inventory and to review Seller’s quality assurance procedures.
Buffer Inventory. Supplier will maintain a buffer inventory exclusively for Purchaser equal to [***] of Purchaser's most recent forecast, which may be maintained at Supplier's location. Supplier agrees to manage its supply chain in commercially diligent manner take reasonable action to ensure that Products will be available, in suitable quantities and quality, for purchase by Purchasers, including, without limitation, the implementation of a disaster recovery plan.
