Business Systems, Procedures and Forms. In consultation with the New PC, the MSO shall establish standardized business systems and procedures for the New PC, including, but not limited to, patient scheduling systems, treatment records system, financial reporting and process control systems and patient communication management systems (the "OMEGA Patient Scheduling System") that are designed to improve the New PC operating efficiency. The MSO shall analyze such information on an ongoing basis in order to advise the New PC on ways of improving operating efficiencies. The MSO shall provide training to the staff of the New PC in the implementation and operation of such standardized business systems and procedures. The MSO shall additionally provide the New PC with and train the New PC's staff in the use of standardized clinical forms, including, without limitation, forms for patient evaluations and treatment plans. The New PC expressly acknowledges and agrees that it shall have no property rights in the OMEGA Patient Scheduling System and the other foregoing systems, procedures and clinical forms, and further agrees that such systems, procedures, and forms shall be deemed to constitute Confidential Information within the meaning of Section 3.8 hereof and be subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for in Section 3.8.
Business Systems, Procedures and Forms. Premier will advise the Orthodontic Entity on and assist in the implementation and operation of business systems and procedures. Premier will provide training to the Center's staff in the use of such systems and procedures. Premier will additionally provide the Orthodontic Entity clinical forms developed in consultation with the Orthodontic Entity and will provide training to the Center's staff in the use of such forms. The Orthodontic Entity expressly acknowledges and agrees that it shall have no property rights in the foregoing systems, procedures or clinical forms, and further agrees that such systems, procedures and form shall be deemed to constitute Confidential Information within the meaning of Section 2.8 hereof and shall be subject to the restrictions on the use, appropriation and reproduction of such Confidential Information provided for in Section 2.8. The parties agree that the Orthodontic Entity's use of any such systems, procedures and forms shall be at the Orthodontic Entity's sole discretion and, notwithstanding its use of any such systems, procedures, or forms, the Orthodontic Entity shall retain control over the management of all aspects of the Center's operations, including, without limitation, patient scheduling.

In consultation with the Orthodontic Entity, USOC shall establish business systems and procedures for the Center developed by USOC that are designed to improve the Center's operating efficiency. USOC shall provide training to the Center's staff in the implementation and operation of such business systems and procedures. USOC shall additionally provide the Orthodontic Entity with and train the Center's staff in the use of clinical forms, including, without limitation, forms for patient evaluations and treatment plans. The Orthodontic Entity expressly acknowledges and agrees that it shall have no property rights in the foregoing systems, procedures and clinical forms, and further agrees that such systems, procedures, and forms shall be deemed to constitute Confidential Information within the meaning of Section 2.7 hereof and subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for in Section 2.7.

In consultation with the Dental Practice Entity, CDS will recommend and implement where approved by the Dental Practice Entity standard business systems and procedures for the Center developed by CDS. CDS will provide training to the Centers' staff in the implementation of such systems and business procedures. CDS shall additionally provide the Dental Practice Entity with and train the Centers' staff in the use of standardized business forms. The Dental Practice Entity expressly acknowledges and agrees that it will have no property rights in the foregoing systems, procedures and forms, and further agrees that such systems, procedures, and forms will be deemed to constitute Confidential Information within the meaning of Section 2.7 hereof and subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for in Section 2.7. Notwithstanding anything contained herein, it is understood that the Dentists are to make all judgments and have complete control regarding the care of patients, patient's records and the patient care procedures utilized therefor.

The PC expressly acknowledges and agrees that it shall have no property rights in the OMEGA Patient Scheduling System and the other foregoing systems, procedures and clinical forms, and further agrees that such systems, procedures, and forms shall be deemed to constitute Confidential Information within the meaning of Section 3.8 hereof and be subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for in Section 3.8.

In consultation with the Practice, BII shall develop and establish business systems and procedures for the Practice at the Center that are designed to improve operating efficiency. BII shall provide training to the Center's staff in the implementation and operation of such business systems and procedures. The Practice expressly acknowledges and agrees that it shall have no property rights in the foregoing systems and procedures, and further agrees that such systems and procedures shall be deemed to constitute Confidential Information (as hereinafter defined) and subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for hereunder.

In consultation with the Orthodontix Professional, OTX shall offer advice to the Orthodontix Professional regarding standardized business systems and procedures for the Orthodontix Professional, including, but not limited to, a scheduling system (the "OTX Scheduling System") that is designed to improve the Orthodontix Professional's operating efficiency. The Orthodontix Professional expressly acknowledges and agrees that it shall have no property rights in the foregoing systems, procedures and clinical forms, and further agrees that such systems, procedures, and forms shall be deemed to constitute Confidential Information within the meaning of Section III, 3.7 hereof and is subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for in this Agreement.

OMEGA shall additionally provide the Orthodontic Practice with and train the Orthodontic Practice's staff in the use of standardized clinical forms, including, without limitation, forms for patient evaluations and treatment plans. Dr. Hill expressly acknowledges xxx xxxees that he shall have no property rights in the OMEGA Patient Scheduling System and the other foregoing systems, procedures and clinical forms, and further agrees that such systems, procedures, and forms shall be deemed to constitute Confidential Information within the meaning of Section 2.7 of Schedule 2 and be subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided for in such Section 2.7.

BDMS shall provide training to the Center's staff in the implementation and operation of such standardized systems and procedures. BDMS shall additionally provide the Professional Entity with and train the Center's staff in the use of standardized clinical forms, including without limitation forms for patient evaluations and treatment plans. The Professional Entity expressly acknowledges and agrees that it shall have no property rights in the foregoing systems, procedures and clinical forms, and further agrees that such systems, procedures, and forms shall be deemed to constitute Confidential Information within the meaning of Section 2.7 ----------- hereof and subject to the restrictions on the use, appropriation, and reproduction of such Confidential Information provided in Section 2.7. -----------
