Buyer’s Officer’s Certificate. An officer of Buyer shall execute and deliver to Sellers a certificate substantially in the form of Exhibit G.
Buyer’s Officer’s Certificate. Buyer shall execute and deliver to Seller an officer's certificate in form and substance similar to EXHIBIT H, stating that all conditions precedent to Closing have been satisfied.

Buyer’s Officer’s Certificate. The term “Buyer’s Officers’ Certificate” shall have the meaning specified in Section 6.3.3.

On the date hereof, the Buyer shall deliver to the Seller a certificate of an authorized Person of the Buyer, dated the date hereof, certifying as to (i) the incumbency of the representative executing this Agreement on behalf of the Buyer and the representative of the Buyer who will execute the Xxxx of Sale and the Royalty Payment Instruction on behalf of the Buyer and (ii) the copies of the Buyer’s organizational documents and resolutions adopted by the Buyer’s board of directors (or other applicable governing body of the Buyer) authorizing the execution and delivery by the Buyer of this Agreement, the Xxxx of Sale and the Royalty Payment Instruction and the consummation by the Buyer of the transactions contemplated hereby and thereby.
