By AT&T. AT&T will create, design, edit, manage, host and otherwise control the presentation of the AT&T Web/Wireless Interfaces at its sole cost and expense. AT&T will host the presentation of the Distributed Application through the AT&T Web/Wireless Interfaces designed and maintained by AT&T. AT&T will have sole responsibility to deliver the Client Download to the End Users’ Interactive Devices at its sole cost and expense.

By AT&T. AT&T makes the following representations and warranties to SpeechWorks, each of which is true and correct on the date hereof and shall continue to be true and correct at all times during the term of this Agreement, and hereby covenants as follows:

By AT&T. AT&T will indemnify, defend, and hold harmless Juno and its affiliates and their respective partners, officers, agents, and employees from any third party claims, damages, liabilities, costs and expenses, including without limitation reasonable legal fees and expenses, arising out of or related to any claim (a) that AT&T has breached any warranty set forth in this Agreement, (b) that AT&T has violated any law, rule, or regulation applicable to AT&T's performance of its obligations hereunder, or (c) arising out of or otherwise related to any AT&T Service sold as a result of this Agreement. In addition to, and not in limitation of, the foregoing, AT&T will indemnify, defend, and hold harmless Juno and its affiliates and their respective partners, officers, agents, and employees from any claims, damages, liabilities, costs and expenses, including without limitation reasonable legal fees and expenses, that arise out of or are related to AT&T's compliance (or failure to comply) with its obligations under Section 3.4 of this Agreement or any breach of AT&T's representations or warranties thereunder. Juno shall have the right, but not the obligation to participate in such defense and to review all documents prepared in connection therewith. Juno shall not be bound by any settlement to which it has not consented in writing.

  • Other Directory Services 73.10.1 Both parties acknowledge that CenturyLink’s directory publisher is not a party to this Agreement and that the provisions contained in this Agreement are not binding upon CenturyLink’s directory publisher. 73.10.2 CenturyLink agrees to include critical contact information pertaining to CLEC in the “Information Pages” of those of its White Pages directories containing information pages, if CLEC meets criteria established by its directory publisher. Critical contact information includes CLEC’s business office number, repair number, billing information number, and any other information required to comply with applicable regulations, but not advertising or purely promotional material. CLEC will not be charged for inclusion of its critical contact information. The format, content and appearance of CLEC’s critical contact information must conform to applicable directory publisher’s guidelines and will be consistent with the format, content and appearance of critical contact information pertaining to all CLECs in a directory. 73.10.3 The directory publisher shall maintain full authority as publisher over its publishing policies, standards and practices, including decisions regarding directory coverage area, directory issue period, compilation, headings, covers, design, content or format of directories, and directory advertising sales.

  • By Either Party Either party may terminate this Agreement for cause if the other party is in material breach of this Agreement and the material breach remains uncured for a period of 30 days from receipt of notice by the other party. No later than the Termination Date, you will close your account.

  • Public Posting of Approved Users’ Research Use Statement The PI agrees that information about themselves and the approved research use will be posted publicly on the dbGaP website. The information includes the PI’s name and Requester, project name, Research Use Statement, and a Non-Technical Summary of the Research Use Statement. In addition, and if applicable, this information may include the Cloud Computing Use Statement and name of the CSP or PCS. Citations of publications resulting from the use of controlled-access datasets obtained through this DAR may also be posted on the dbGaP website.

  • By You You may cancel this policy at any time by giving us written notice or returning the policy to us and stating when thereafter the cancellation is to be effective.

  • Public Records Requests If the Department receives a public records request for materials designated by the Contractor as trade secret or otherwise confidential under Florida or federal law, the Contractor will be responsible for taking the appropriate legal action in response to the request. If the Contractor fails to take appropriate and timely action to protect the materials designated as trade secret or otherwise confidential, the Department will provide the materials to the requester.

  • Perfect Attendance Employees in regular, full-time positions who do not utilize any sick leave in a calendar year (pay period 1 through 26/27 of that year, when applicable, of the same year), and who do not record any sick leave without pay or absence without pay for that year, shall receive a one (1) year’s paid membership in a County Human Resources approved health facility or utilization of perfect attendance leave. The paid health facility membership shall not exceed the cost of a one (1) year paid membership at the County Human Resources approved health facility. In lieu of a County Human Resources approved health facility membership, the employee has the option of utilizing sixteen (16) hours of perfect attendance leave, no cash out provision, within the time frame of the subsequent calendar year. Failure to utilize perfect attendance leave within the subsequent calendar year shall result in forfeiture of the same.

  • Procurement of Recovered Materials In the performance of this contract, the Contractor shall make maximum use of products containing recovered materials that are EPA-designated items unless the product cannot be acquired

  • Motions for Directions (1) Class Counsel or the Settling Defendants may apply to the Ontario Court and/or such other courts as may be required by the Courts for directions in respect of the interpretation, implementation and administration of this Settlement Agreement. Unless the Courts order otherwise, motions for directions that do not relate specifically to the matters affecting the Quebec Action shall be determined by the Ontario Court. (2) All motions contemplated by this Settlement Agreement shall be on notice to the Parties.
