By CTN. CTN may terminate this Agreement: ------ (i) on ninety (90) days written notice to Xxxxxx if the quality and/or content of the Programs (taken as a whole in each case) delivered by Xxxxxx significantly deteriorates from the current quality of the Programs. For purposes of this Paragraph, significant deterioration in quality of the Programs shall mean changes that are materially below the quality of any programming currently being provided by Xxxxxx or one of its news programming affiliates; or (ii) upon the effective date of any sale or other disposition of substantially all of the CTN assets or CTN stock to any third party or the merger of CTN with any third party entity unaffiliated with CTN, by ninety (90) days prior written notice to Xxxxxx, provided that, CTN pays Xxxxxx an aggregate amount equal to nine (9) monthly payments at the applicable Fee rate for the period commencing on the effective date of termination or the amount representing the unpaid portion of the aggregate Fee payable through expiration of the Term, whichever is less. It is expressly agreed that such amount shall be deemed to be liquidated damages, not a penalty, for CTN's early termination of this Agreement. It is further expressly agreed and understood that Xxxxxx shall have no production or other obligations to CTN as of the effective termination date.
By CTN. CTN hereby agrees to indemnify, defend, protect, save and ------ hold harmless Xxxxxx and its agents, officers, directors, employees, successors, licensees, assignees and attorneys, from and against, any and all Claims imposed on, incurred by, or asserted against Xxxxxx or any of the foregoing individuals arising out of or related to a third party claim that (i) the CTN Content infringes or violates any copyright, trademark, patent or other intellectual property right of any third party or are considered libelous or defamatory to a third party; (ii) any CTN trademark, service xxxx, tradename or logo provided by CTN for the Network infringes any copyright, trademark, patent or other intellectual property right of any third party; (iii) the Network and/or CTN's distribution of the same fails to comply with any applicable laws, rules or regulations (except to the extent such noncompliance relates solely to the Programs); (iv) any equipment or installation activities related to the distribution and/or exhibition of the Network caused any bodily injury and/or property damage; or (v) CTN is in breach or alleged breach of any representation, warranty, covenant or obligation by it contained in or made pursuant to this Agreement.
By CTN. (i) CTN may, without Eastern's consent, but subject to ten (10) days prior written notice to Eastern, transfer its rights, benefits, duties, or obligations under this Agreement to one or more of its Member Institutions, or to another entity formed by CTN or one or more of its Member Institutions, provided that such Member Institution(s) or other entity has secured from the Member Institutions leases of excess capacity enabling it or them to fully perform the duties and obligations of CTN under this Agreement. (ii) Should CTN seek to assign or transfer its rights, benefits, duties or obligations to a third party not affiliated with CTN or one or more of its Member Institutions to the extent set out in Subparagraph 7 (B) (i), and such entity has secured from CTN and/or the Member Institutions leases of excess capacity enabling it to fully perform the duties and obligations of CTN under this Agreement, it must obtain the prior written consent of Eastern, which shall not be unreasonably withheld, conditioned or delayed.

  • By Company To the extent permitted by law, the Company will indemnify and hold harmless each Holder, the directors, if any, of such Holder, the officers, if any, of such Holder who sign the Registration Statement, each person, if any, who controls such Holder, any underwriter (as defined in the Securities Act) for the Holders and each person, if any, who controls any such underwriter within the meaning of the Securities Act or the Securities Act of 1934, as amended (the "1934 Act"), against any losses, claims, damages, expenses or liabilities (joint or several) to which any of them may become subject under the Securities Act, the 1934 Act or otherwise, insofar as such losses, claims, damages, expenses or liabilities (or actions or proceedings, whether commenced or threatened, in respect thereof) arise out of or are based upon any of the following statements, omissions or violations (collectively, a "Violation"): (i) any untrue statement or alleged untrue statement of a material fact contained in the Registration Statement including any preliminary prospectus or final prospectus contained therein or any amendments or supplements thereto, (ii) the omission or alleged omission to state therein a material fact required to be stated therein, or necessary to make the statements therein, in light of the circumstance in which they are made, not misleading or (iii) any violation or alleged violation by the Company of the Securities Act, the 1934 Act, any state securities law or any rule or regulation promulgated under the Securities Act, the 1934 Act, any state securities law; and the Company will reimburse the Holders and each such underwriter or controlling person, promptly as such expenses are incurred, for any legal or other expenses reasonably incurred by them in connection with investigating or defending any such loss, claim, damage, liability action or proceeding; provided, however, that the indemnity agreement contained in this Section 6(a) shall not apply to amounts paid in settlement of any such loss, claim, damage, liability or action if such settlement is effected without the consent of the Company, which consent shall not be unreasonably withheld, nor shall the Company be liable in any such case for any such loss, claim, damage, liability or action to the extent that it aries out of or is based upon a Violation which occurs in reliance upon and in conformity with written information furnished expressly for use in connection with such registration by the Holders or any such underwriter or controlling person, as the case may be. Such indemnity shall remain in full force and effect regardless of any investigation made by or on behalf of the Holders or any such underwriter or controlling person and shall survive the transfer of the Registrable Securities by Holders.

Claims thereafter may be asserted regardless of amount. Seller's maximum liability to Buyer Indemnitees under clauses (i) and (v) of this Section shall not exceed $13,750,000.

  • By Purchaser (i) if Seller shall have breached in any material respect any of its representations, warranties, covenants or other agreements contained in this Agreement, which breach cannot be or has not been cured within ten Business Days after the giving of written notice by Purchaser to Seller specifying such breach and so that the conditions set forth in Section 7.1(e) or Section 7.1(f) would not be satisfied at the time of such breach; (ii) if there shall have occurred any Material Adverse Effect or any development that, insofar as reasonably can be foreseen, is reasonably likely to result in any Material Adverse Effect; (iii) if Purchaser shall have determined that the conditions to Purchaser's obligations hereunder set forth in Section 7.1(c) are not capable of being satisfied upon terms reasonably satisfactory to Purchaser, whether or not any Governmental Entity shall have issued an order, decree or ruling or taken any other action (which order, decree, ruling or other action the parties hereto shall use their reasonable efforts to lift), which restrains, enjoins or otherwise prohibits the acquisition by Purchaser of such Assets; (iv) if the Bankruptcy Court has not entered the Bidding Procedures Order by November 2, 2001; (v) if the Bankruptcy Court has not entered the Sale Order by the date that is 50 days after the Petition Date; (vi) if the Sale Order has not become a Final Order or if the Sale Order has been revoked, rescinded or modified in any material respect; (vii) if the Asset Purchase Agreement and the Transactions are not approved by the Bankruptcy Court in accordance with the Sale Order; (viii) if Seller gives written notice to Purchaser that it is unable to obtain a consent required by Section 7.1(c); (ix) if Seller's Board of Directors determines in good faith, after consultation with outside counsel, and evidenced by a duly adopted board resolution, that, in order to comply with its fiduciary duties under Applicable Law, it is required to enter into a definitive agreement with respect to an Alternative Transaction and Seller executes and delivers such a definitive agreement with respect to an Alternative Transaction; (x) if the Bankruptcy Court enters an order that contemplates a Business Combination other than by Purchaser; (xi) if there has been a Default or Event of Default (as such terms are defined in the Loan Agreement) under the Loan Agreement; (xii) if Seller becomes a proponent or co- proponent of any plan of reorganization under the Bankruptcy Code filed with the Bankruptcy Court which does not contemplate an acquisition of the Acquired Assets by Purchaser on the terms set forth herein; or (xiii) if Seller's Bankruptcy Case is converted from a case under Chapter 11 of the Bankruptcy Code to a case under Chapter 7 of the Bankruptcy Code or is dismissed, if a trustee is appointed in Seller's Bankruptcy Case, or if the periods of exclusivity under Sections 1121(b) and 1121(c) of the Bankruptcy Code are terminated or reduced by the Bankruptcy Court pursuant to Section 1121(d) in Seller's Bankruptcy Case.
