Certain amounts treated as em- ployee compensation. For purposes of this section, a guaranteed payment to a partner in a partnership is treated as employee compensation. For purposes of this section, annual compensation paid to a director of a corporation is treated as employee compensation. For example, an amount paid to a director of a corporation for attendance at a regular meeting of the board of direc- tors (or committee thereof) is treated as employee compensation for purposes of this section. However, an amount paid to the director for attendance at a special meeting of the board of direc- tors (or committee thereof) is not treated as employee compensation. An amount paid to a person that is not an employee of the taxpayer (including the employer of the individual who per- forms the services) is treated as em- ployee compensation for purposes of this section only if the amount is paid for secretarial, clerical, or similar ad- ministrative support services (other than services involving the preparation and distribution of proxy solicitations and other documents seeking share- holder approval of a transaction de- scribed in paragraph (a) of this sec- tion). In the case of an affiliated group of corporations filing a consolidated federal income tax return, a payment by one member of the group to a sec- ond member of the group for services performed by an employee of the sec- ond member is treated as employee compensation if the services provided by the employee are provided at a time during which both members are affili- ated.
