Certain Business Relationships With Seller. Except as set forth on Disclosure Schedule 3.23, none of the shareholders of Seller or any of their Affiliates has been a party to any business arrangement or relationship with Seller within the past 12 months, and none of the shareholders of Seller or any of their Affiliates owns any asset, tangible or intangible, that is used in the Business.
Certain Business Relationships With Seller. To Seller's Knowledge, except as set forth on Section 3.24 to the Disclosure Schedule, no Affiliate or officer, director or employee of the Seller has been involved in any material business arrangement or relationship with the Business within the past twelve months, and no such Affiliate, officer, director or employee owns any material asset, tangible or intangible, which is used in the Business.
Certain Business Relationships With Seller. To Seller’s knowledge, neither any shareholders of Seller nor any director or officer of Seller, nor any member of their immediate families, nor any Affiliate of any of the foregoing, owns, directly or indirectly, or has an ownership interest (excluding any direct or indirect ownership by a shareholders of Seller of up to 1% of the outstanding capital stock of a publicly traded entity) in (a) any business (corporate or otherwise) which is a party to, or in any property which is the subject of, any business arrangement or relationship of any kind with Seller, or (b) any business (corporate or otherwise) which conducts the same business as, or a business similar to, that conducted by Seller.
Certain Business Relationships With Seller. Except as set forth on Schedule 4.20, neither Chartwell nor any of its Affiliates, directors, officers, employees, and shareholders, nor Seller’s directors, officers, employees, and shareholders has been involved in any material business arrangement or relationship with Seller within the past twelve (12) months, and neither Chartwell nor any of its Affiliates, directors, officers, employees, and shareholders, nor Seller’s directors, officers, employees, and shareholders own any material asset, tangible or intangible, that is used in the Business.
Certain Business Relationships With Seller. None of Parent or its Affiliates, or any of Seller’s directors, officers, employees, or shareholders owns any asset, tangible or intangible, that is used in the Business except for the Intellectual Property covered by the Software License Agreement and the Trademark License Agreement and books and records related to Taxes.
Certain Business Relationships With Seller. Except as disclosed in Section 2.25 of the Disclosure Schedule, neither Seller nor any of its Affiliates (other than the Company and the Subsidiaries) has been involved in any business arrangement or relationship (other than employment) involving amounts in excess of $250,000 or which are otherwise material with either the Company or any Subsidiary within the past twelve (12) months or that is currently in effect and neither Seller nor any of its Affiliates (other than the Company and the Subsidiaries) owns any material Asset which is used in the business of the Company or any Subsidiary. Other than as set forth on Section 2.25 of the Disclosure Schedule, following the Closing, there will be no Contracts between the Seller and the Company, and the Company will not be liable to Seller or any Affiliate of Seller (other than any Subsidiary) for any payments, indemnifications or other obligations.
Certain Business Relationships With Seller. Except as set forth in Schedule 4.23, no Affiliate of Seller or other Person who beneficially owns 10% or more of any class of equity securities of Seller has been involved in any business arrangement or relationship with Seller relating to the Business, and no Affiliate of Seller or other Person who beneficially owns 10% or more of any class of equity securities of Seller owns any asset, tangible or intangible, that is used in the Business.
Certain Business Relationships With Seller. Except as set forth in §3(r) of the Disclosure Schedule, no Person holding five percent (5%) or more of the equity securities of Seller nor any of the Affiliates of any such Person has been involved in any business arrangement or relationship with Seller within the past 12 months, and no such Person nor any Affiliate of such Person (i) owns any material asset, tangible or intangible, or (ii) is a party to any contract, lease, license, agreement or commitment, used in the Business of Seller.
Certain Business Relationships With Seller. Except as set forth on Schedule 4(m), and except for compensation to regular employees of Seller, no current or former director, officer, manager or employee of Seller is now, or has been since January 1, 2018, (i) a party to any transaction, contract or arrangement (written or oral) with the Business, or (ii) the direct or indirect owner, of record or as a beneficial owner, of an equity interest or any other financial or profit interest in any Person which is a present or potential competitor, supplier, lessor, or customer of the Business (other than non-affiliated holdings in publicly held companies), nor does any such Person receive income from any source other than the Business which should properly accrue to the Business.
Certain Business Relationships With Seller. Except as set forth in Section 3.25 of the Disclosure Schedule, (i) neither Parent nor any of its Affiliates (other than Seller), directors, officers, employees and shareholders has provided any material products or services to Seller within the past 12 months, and (ii) neither Parent nor any of its Affiliates, directors, officers, employees and shareholders, and Seller’s directors, officers, employees, and shareholders has been involved in any business arrangement or relationship with Seller within the past 12 months, and none of Parent, Parent’s Affiliates, directors, officers, employees and shareholders, and Seller’s directors, officers, employees, and shareholders owns any asset, tangible or intangible, that is used in the Business.
