Certain Customer Relationships. Section 3.28 of the Disclosure Schedule contains an accurate list of RTI's ten largest customers for the fifteen month period ending September 30, 1997 (the "Primary Customers"), together with the total dollar amount of all products purchased by such Primary Customers from RTI during such period. RTI has not received any notice and does not otherwise have knowledge that any Primary Customer intends to reduce the volume or dollar amount of the products it purchases from RTI.

Certain Customer Relationships. Schedule 5.21 contains a list of the ten (10) largest customers of Seller with respect to the Business for the two (2) previous fiscal years (the "Primary Customers"), together with the total dollar amount of revenues generated by such Primary Customers during such periods. Except as set forth in Schedule 5.21, Seller has good relationships with each of the Primary Customers, and neither Seller, nor NexCoil, has received any notice of, nor to the Knowledge of the Seller, do any of the Primary Customers intend to reduce the volume or dollar amount of its purchases or cease or suspend its business relationship with Seller, as the case may be for any reason. No Person having a material business relationship with Seller including, but not limited to the Primary Customers, intends or has threatened to materially change such relationship for any reason.

VSA has not received any written notice that any Primary Customer intends to reduce in any material respect the dollar amount of sales by VSA in the year ending June 30, 1999 from the year ended June 30, 1998. 3.29.

Antenna and the Antenna Subsidiaries generally have good relationships with each of the Primary Customers and neither Antenna nor any of the Antenna Subsidiaries has received any notice or otherwise has knowledge that any Primary Customer intends to reduce the volume or dollar amount of the products it purchases from Antenna or the Antenna Subsidiaries.

The Executive further acknowledges that the Company does business throughout the United States and that the Executive personally has significant contact with the Company’s clients and customers solely as a result of Executive’s relationship with the Company.

For purposes of this Agreement, Executive had “Material Contact” with a Protected Customer if (a) he had business dealings with the Protected Customer on the Company’s behalf; (b) he was responsible for supervising or coordinating the dealings between the Company and the Protected Customer; or (c) he obtained Trade Secrets or Confidential Information about the customer as a result of his association with the Company.
