Certificate of Release. Seller shall deliver to Buyer at the Closing a Certificate of Release from the California Employment Development Department (the "EDD") stating that, as of a date not more than fifteen (15) days before the Closing Date, no contributions, interest or penalties are due to the EDD from the Company;
Certificate of Release. The Escrow Agent shall retain all of the Escrowed Securities until it receives a joint direction bearing a signature by or on behalf of each of Ideal, Holdings, X'Xxxxxx, Xxxxxx, Xxxxxx and Suleman, and certified correct by the auditors of Ideal, in the form annexed hereto as Appendix 1 (the "Release Notice") confirming that Ideal has generated the aggregate revenues on a consolidated basis as set out in clauses 3.02 (a) (b) (c) and (d) in the last fiscal year ended December 31 and was profitable on a pre-tax basis during that period.
Certificate of Release. Prior to the Arts Unit Closing, Herndon shall deliver the Certificate of Termination and Release to the Settlement Agent. The Certificate of Termination and Release shall be held in escrow and recorded in the Land Records as part of the Arts Unit Closing prior to the recordation in the Land Records of the Condominium Documents and the Arts Unit Deed. If Xxxxxxxx has satisfied all conditions to the Arts Unit Closing and is ready, willing and able to proceed with the Arts Unit Closing, but Herndon is unwilling or unable to do so through no fault of Xxxxxxxx or anyone providing any of the Work through Xxxxxxxx, then, upon Xxxxxxxx’x written request, Herndon shall instruct the Settlement Agent shall deliver the Certificate of Termination and Release to Xxxxxxxx for recordation.
Certificate of Release. Have a certificate of release to service issued by appropriately authorized certifying staff after completion of any maintenance or repair of the Aircraft and/or Parts by an Approved Maintenance Performer, which release shall be issued in accordance with the procedures specified in such Approved Maintenance Performer's approved operations specifications.
Certificate of Release. As soon as available after Closing Seller shall provide a Certificate of Release from the Nevada Employment Development Department stating that as of the Closing Date, no contributions, interest, or penalties are due to the Employment Development Department from the Seller. In all events Seller shall be and remains liable for all such contributions, interest or penalties if due. In the event the foregoing conditions precedent cannot be satisfied in accordance with their stated terms or, if sooner, prior to the Closing Date, and such unsatisfied conditions are not waived by the party entitled to the benefit of same, this Agreement shall be null and void, and the Deposit shall be subject to disposition under Section 10. Purchaser shall use its best efforts in good faith to bring about the fulfillment of all conditions within its control set forth in this Section 7. Without waiving any rights with respect to representations, warranties and covenants made by Seller in this Agreement, Purchaser agrees that by proceeding with the Closing, all conditions precedent to the obligations of Purchaser have been met to Purchaser's satisfaction.
Certificate of Release. Purchaser shall have received a Certificate of Release from the Kansas Department of Human Resources stating that, as of a date not more than five (5) days before the Closing Date, no contributions, interest, or penalties are due to the Department of Human Resources from the Seller. In the event the foregoing conditions precedent cannot be satisfied prior to the Closing Date and are not waived by Purchaser, this Agreement shall be null and void. Purchaser shall use its best efforts in good faith to bring about the fulfillment of all conditions within its control set forth in this Section7. Without waiving any rights with respect to representation, warranties and covenants made by Seller in this agreement, Purchaser agrees that by proceeding with the Closing, all conditions precedent to the obligations of Purchaser have been met to Purchaser's satisfaction.
Certificate of Release. Seller shall have furnished to Buyer all information (and assignments, if applicable) necessary for it to obtain (i) a Certificate of Release from the California Department of Employment Development stating that no contribution, interest or penalties are due to the California Department of Employment Development from Seller, (ii) a Business Tax Registration Certificate from the Office of the Tax Collector of the City and County of San Francisco, and (iii) permits from the Bay Area Air Quality Management District on all of those items of equipment as to which Seller currently has permits or has applied for permits.
Certificate of Release. OF BUYER (DE2220). Promptly following the Closing, Seller agrees to take such actions as necessary to obtain a Certificate of Release of Buyer (DE2220) (the "DE2220"), issued by the Employment Development Department of the Health and Human Services Agency of the State of California pursuant to Section 1732 of the California Unemployment Insurance Code (the "CUIC") and to deliver same to Purchaser, such DE2220 to certify that no contributions, interest, and penalties are due and that Purchaser is not required to withhold in trust money or property sufficient in amount or value to cover the amount due or unpaid from Seller. The Seller shall be solely responsible for the application for such certificate, as well as supplying all records and reports necessary under the CUIC to issue such a certificate.
Certificate of Release. The City hereby certifies that the Developer has satisfied its obligations with respect to commencing construction of the foundation of the Project on the City Property. The City further acknowledges and agrees that the City Property is hereby released from the Right of Re-Entry.
Certificate of Release. The Grantor hereby certifies that the Grantee has satisfied its obligations with respect to completing, by December 31, [2023][2024][2025], construction of [Phase I Residential] [Phase II Residential/Commercial] [Phase III Residential/Commercial], in accordance with permits issued by the City. The Grantor further acknowledges and agrees that the Development Property is released from the Right of Re-Entry.
