Common use of Changes to Charges Clause in Contracts

Changes to Charges. Except as may be specifically set forth in an Order, Vertafore may change the Charges for Vertafore Solutions after the first twelve (12) months of the Term. Vertafore will provide sixty (60) days’ notice to Customer before implementing any change to Charges. Charges shall not be changed more than once per year. Vertafore may change the Charges if Customer’s mergers, acquisitions, or divestitures give additional access to the Vertafore Solutions. Vertafore may review Customer’s usage at any time and if the actual usage exceeds the quantity and License Metric purchased on the applicable Order(s), then Vertafore may modify the Charges.
