Common use of Chief Executive Officer Clause in Contracts

Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effect.

Chief Executive Officer. The Chief Executive Officer of the Company shall, under subject to the direction oversight of the Member and Board of ManagersDirectors, perform supervise, coordinate and manage the Company’s business and operations, and supervise, coordinate and manage its activities, operating expenses and capital allocation, shall have general authority to exercise all duties incident to the office of powers necessary for the Chief Executive Officer, have general charge Officer of the businessCompany and shall perform such other duties and have such other powers as may be prescribed by the Board of Directors or this Amended Agreement, affairs and property all in accordance with basic policies as may be established by the Board of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectDirectors.

Chief Executive Officer. The Chief Executive Officer shall, under shall have such other powers and perform such other duties as may from time to time be prescribed by the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard.

Chief Executive Officer. The Chief Executive Officer shall, under shall (i) be the direction chief executive officer of the Member Partnership who shall have the usual powers, duties, and responsibilities incident thereto, subject to additions, modifications, and deletions thereof from time to time by the Board of Managers, perform all duties incident Directors and those powers and responsibilities specifically reserved hereunder to the office Partners and the Board of Chief Executive OfficerDirectors, have general charge (ii) manage the conduct of the business, business and affairs and property of the LLC Partnership, and general supervision over the other Officers and any of the LLC's employees and agents and (iii) see that all orders and resolutions of the LLC Board of Directors are carried into effect.

The Chief Executive Officer shall, under subject to the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive OfficerBoard, have general charge and supervision of the business, affairs and property day-to-day business of the LLC Company. The Chief Executive Officer shall perform such other duties and general supervision over possess such other powers as the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard may from time to time prescribe.

Chief Executive Officer. Chief Executive Officer. The Chief Executive Officer shallshall be the senior most executive officer of the Company and shall in general supervise and manage the ordinary course of business and operations, under and oversee the "day to day" management, of the Company and its Subsidiaries in accordance with the Annual Budget and the Strategic Plan, subject to the direction and control of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectDirectors.

Chief Executive Officer. The Chief Executive Officer shall, under shall be the direction chief executive officer of the Member Corporation, shall have general supervision of the affairs of the Corporation and Board general control of Managers, perform all duties incident of its business subject to the office ultimate authority of the Board, and shall be responsible for the execution of the policies of the Board with respect to such matters, except to the extent any such powers and duties have been prescribed to the Chairman of the Board pursuant to Section 6.1(a) above. The Chief Executive Officer shall perform such other duties as are carried into effectproperly required of him by the Board of Directors.

The Chief Executive Officer shall, under the direction of the Member Corporation shall be the general manager and Board chief executive officer of Managersthe Corporation, perform all duties incident subject to the office of Chief Executive Officer, have general charge control of the Board, and as such shall direct the overall business, affairs and property operations of the LLC and Corporation, shall have general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions officers of the LLC are carried into effectCorporation and shall have all such other authority as is incident to such office.

Chief Executive Officer. The Chief Executive Officer shall, under shall manage and administer the direction Company’s business and affairs. Chief Executive Officer. The Chief Executive Officer shall, under shall be responsible for the direction general management of the Member and affairs of the Company, shall make reports to the Board of Managers, Directors and the Members and shall perform all duties incident incidental to such office as are properly required by the office Board of Directors. Chief Executive Officer. The Chief Executive Officer, if any, shall have overall responsibility for the management of the business of the Company, subject to the oversight and control of the Founder (who may serve as the Chief Executive Officer). The Chief Executive Officer shallshall have and exercise such powers and duties as may be delegated to or vested in such LLC Officer from time to time by the Founder, under this Agreement or any agreement entered into by the direction of the Member Company and Board of Managers, perform all duties incident to the office of Chief Executive such LLC Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effect.

Chief Executive Officer. The chief executive officer shall be the company manager with a general right to represent the company pursuant to Article 39. section (2) of the Act on Business Organisations and, in accordance with the resolutions of the Board of Directors, he shall be responsible for the control of daily operation of the Company. The Chief Executive Officer shall, under shall be elected by the direction of the Member Founder in a resolution for a definite period specified in this resolution and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effecthe may be recalled with a resolution.

Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, when one is appointed, shall be declared by the Member to be the Chief Executive Officer of the Company and, if so appointed, shall have general charge and active management of the business, affairs and property business of the LLC Company and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Member are carried into effect. He shall be ex officio a member of all standing committees, unless otherwise provided in the resolution appointing the same. The Chief Executive Officer shall call meetings of the Members and the Member to order and shall act as chairman of such meetings.

Chief Executive Officer. The Chief Executive Officer shallOversee, under the direction of the Member manage and Board of Managers, perform supervise all duties incident activities related to the office of Chief Executive Officer, have general charge operation of the business, affairs including the authority to make any and property of all decisions with respect to the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectCompany.

Chief Executive Officer. The Chief Executive Officer shall, under the direction shall have general and active management of the Member and Board operation of Managers, perform all duties incident the Company subject to the office authority of the Manager. Chief Executive Officer. Chief Executive Officer.
