Common use of Chief Executive Officer Clause in Contracts

Chief Executive Officer. The Chief Executive Officer shall, under the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effect.

Chief Executive Officer. Chief Executive Officer. The Chief Executive Officer chief executive officer shall, under subject to the direction and control of the Member and Board board of Managers, perform all duties incident to the office of Chief Executive Officerdirectors, have general charge control and management of the business, affairs and property policies of the LLC corporation and general supervision over the other Officers its officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC board of directors are carried into effect. The chief executive officer shall have the power to sign all certificates, contracts and other instruments on behalf of the corporation.

Chief Executive Officer. The Chief Executive Officer of the Company shall, under subject to the direction oversight of the Member and Board of ManagersDirectors, perform supervise, coordinate and manage the Company’s business and operations, and supervise, coordinate and manage its activities, operating expenses and capital allocation, shall have general authority to exercise all duties incident to the office of powers necessary for the Chief Executive Officer, have general charge Officer of the businessCompany and shall perform such other duties and have such other powers as may be prescribed by the Board of Directors or this Amended Agreement, affairs and property all in accordance with basic policies as may be established by the Board of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectDirectors.

Chief Executive Officer. The Chief Executive Officer shallshall have general powers of oversight, under the direction supervision and management of the Member business and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge affairs of the businessCompany, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Board of Managers are carried into effect. The Chief Executive Officer shall have such other powers and duties as usually pertain to such office or as may be delegated by the Board of Managers.

Chief Executive Officer. The Chief Executive Officer shall, under shall be responsible for the direction general management of the Member affairs of the Corporation and Board of Managers, perform all duties incident shall act in a general executive capacity subject to the office of Chief Executive Officer, have general charge oversight of the business, affairs Board in the administration and property operation of the LLC Corporation’s business and general supervision over of its policies and affairs. Chief Executive Officer. (a) The Chief Executive Officer shall, under will have the direction responsibility for oversight of the Member Management Services Agreement and the Manufacturing Agreement, for the general supervision, direction and control of the Officers, employees, day-to-day business and affairs of the Company, and for such other duties appropriate to such office and not inconsistent therewith as may be delegated to him by the Board of ManagersDirectors of the Company. The Chief Executive Officer shall, under shall have such other powers and perform such other duties as may from time to time be prescribed by the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard.

Chief Executive Officer. The Chief Executive Officer shall, under the direction chief executive officer of the Member Corporation shall have the responsibility for the general and Board active management and control of Managersthe affairs and business of the Corporation, shall perform all duties and have all powers which are commonly incident to the office of Chief Executive Officerchief executive or which are delegated to the chief executive officer by the Board, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Board are carried into effect. The chief executive officer shall have the authority to sign all bonds, deeds, contracts and other instruments of the Corporation that are authorized and shall have general supervision and direction of all of the other officers and agents of the Corporation.

Chief Executive Officer. The Chief Executive Officer of the Company shall, under subject to the direction of the Member and Board of Managers, perform all duties incident to the office of Chief Executive OfficerDirectors, have general charge and active control of the business, affairs and property business of the LLC Company and general supervision over of its officers, officials, employees and agents. In the other Officers and any absence of the LLC's employees and agents and see that all orders and resolutions Chairman of the LLC are carried into effectBoard of Directors, the Chief Executive Officer shall preside at all meetings of the shareholders and, if he or she is also a Director, meetings of Directors at which he or she is present.

Chief Executive Officer. Chief Executive Officer. The Chief Executive Officer, subject to the control of the Board of Directors, shall act in a general executive capacity and shall control the business and affairs of the Corporation. Subject to the requirements of the Certificate of Incorporation, the Chief Executive Officer shall have the power to appoint and remove subordinate officers, agents and employees, except those elected by the Board of Directors. Chief Executive Officer. Chief Executive Officer. The Chief Executive Officer shall, under shall be the direction principal operating officer of the Member and Board Company and, subject to the control of Managersthe Board, shall in general direct the business operations of the Company. He or she shall perform all duties incident to the office of Chief Executive Officer, have general charge of Officer and such other duties as may be prescribed by the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard or this Agreement from time to time.

Chief Executive Officer. The Chief Executive Officer shall, under jointly with the direction President of the Member Company, have general supervision and control over, and responsibility for the day-to- day operations of the Company, subject to the general policy directions of the Board of Managers, perform all duties incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and shall see that all orders and resolutions of the LLC Board of Managers are carried into effecteffect and shall have such other powers and shall perform such other duties as may from time to time be assigned to him/her by the Board of Managers.

Chief Executive Officer. The Chief Executive Officer shallshall be the chief executive officer of the Corporation. Subject to the provisions of these Bylaws and the Stockholders Agreement, under and to the direction of the Member Board, the Chief Executive Officer shall have the responsibility for the general management and Board control of Managers, the business and affairs of the Corporation and shall perform all duties and have all powers which are commonly incident to the office of Chief Executive Officer, have general charge of chief executive officer or which are delegated to such person by the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectBoard.

Chief Executive Officer. The Chief Executive Officer shall have the general powers and duties incident to of supervision and management normally vested in the office of Chief Executive OfficerOfficer of a corporation and shall have such other powers and duties as may be prescribed by the Directors, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectAgreement or these Bylaws.

Chief Executive Officer. The Chief Executive Officer shallof the Corporation shall in general supervise and control all of the business affairs of the Corporation, under subject to the direction of the Member and Board of Managers, perform all duties incident to the office of Directors. The Chief Executive OfficerOfficer may execute, have general charge in the name and on behalf of the businessCorporation, affairs and property any deeds, mortgages, bonds, contracts or other instruments which the Board of Directors or a committee thereof has authorized to be executed, except in cases where the execution shall have been expressly delegated by the Board of Directors or a committee thereof to some other officer or agent of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectCorporation.

Chief Executive Officer. The Chief Executive Officer shallshall have general executive charge, under the direction management, and control of the Member properties and Board operations of Managersthe Corporation in the ordinary course of its business, perform with all duties such powers with respect to such properties and operations as may be reasonably incident to the office of Chief Executive Officer, have general charge of the business, affairs and property of the LLC and general supervision over the other Officers and any of the LLC's employees and agents and see that all orders and resolutions of the LLC are carried into effectsuch responsibilities.

The Chief Executive Officer shall, under the direction of the Member and Company, subject to the control of the Board of Managers, perform all duties incident to the office of Chief Executive Officer, shall have general charge supervision and control of the business, affairs and property properties of the LLC Company and its general supervision over officers. The Chief Executive Officer shall possess the power to sign all contracts, certificates and other Officers and any instruments of the LLC's employees Company which may be authorized by the Board of Managers. The Chief Executive Officer shall also perform such other duties and agents and see that all orders and resolutions may exercise such other powers as from time to time may be assigned to him by the Board of the LLC are carried into effectManagers.
