Choice of Forum and Venue. EMPLOYEE AND THE COMPANY, IN ORDER TO INDUCE EACH OTHER TO ENTER INTO THIS AGREEMENT, HEREBY AGREE THAT ALL ACTIONS OR PROCEEDINGS ARISING DIRECTLY OR INDIRECTLY IN CONNECTION WITH, OUT OF, RELATED TO OR FROM THIS AGREEMENT SHALL BE LITIGATED, IN COURTS HAVING SITUS WITHIN THE U.S.A., STATE OF ILLINOIS, COUNTY OF XXXX. EMPLOYEE AND THE COMPANY HEREBY CONSENT AND SUBMIT TO THE JURISDICTION OF ANY SUCH STATE OR FEDERAL COURT LOCATED WITHIN SUCH COUNTY. EMPLOYEE AND THE COMPANY HEREBY WAIVE ANY RIGHT EACH OF THEM MAY HAVE TO TRANSFER OR CHANGE THE VENUE OF ANY LITIGATION BROUGHT BY OR AGAINST EITHER OF THEM IN ACCORDANCE WITH THIS SECTION.

Choice of Forum and Venue. Each party to this Agreement shall have the right to have recourse to and shall be bound by the pre-arbitral referee procedure of the International Chamber of Commerce in accordance with its Rules for a Pre-Arbitral Referee Procedure. All disputes arising out of or in connection with this Agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator appointed in accordance with the said Rules. The parties further agree that the language to be used for any pre-arbitral referee procedures and for the arbitration will be English, and that the Parties shall mutually agree as to the location where any of the foregoing proceedings shall take place. Notwithstanding any other provision of this Agreement, either party shall be entitled to seek injunctive or other provisional relief from any court of competent jurisdiction at any time prior to, during or after any pre-arbitral referee procedure or arbitration proceeding initiated under this Section 10. Choice of Forum and Venue. The terms of this Agreement shall be construed in accordance with the laws of the State of Texas. Any proceeding brought to enforce or interpret this Agreement shall be brought in Potter County, Texas.
Choice of Forum and Venue. Except as set forth in Section 12.1 (Alternative Dispute Resolution), any dispute, controversy or claim arising from or relating to this Agreement, or the breach, termination, or invalidity thereof, will be settled by arbitration in New York, New York, in accordance with the American Arbitration Association rules for complex commercial arbitrations in effect on the Effective Date. The language of the arbitration will be English. At the first arbitration hearing, the Parties will (i) agree on the discovery schedule for the arbitration, (ii) arrange an acceptable procedure for any law and motion proceedings and (iii) in all respects arrange for the most expeditious hearing possible of the matters in dispute. The Parties shall have the right to conduct the discovery only to the extent specifically authorized by the arbitrator.
Choice of Forum and Venue. All issues and questions concerning the construction, validity, enforcement and interpretation of this Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Texas or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Texas. The Seller and the Purchaser further agree that any dispute arising out of this Agreement may be decided by either the state or federal court sitting in Tarrant County, Texas. The Seller and the Purchaser shall each submit to the jurisdiction of those courts and agree that service of process by certified mail, return receipt requested, shall be sufficient to confer said courts with in personam jurisdiction.
Choice of Forum and Venue. The parties hereby expressly submit, and hereby waive any objections they may have, to the personal jurisdiction and venue of the state and federal courts located in Santa Xxxxx County, California and in the Northern District of California, for any claim, dispute, or lawsuit arising from or related to this Agreement.

Choice of Forum and Venue. All disputes arising under this Agreement not resolved in accordance with Section 16.1 ("Dispute Resolution") above, shall be brought in Superior Court of the State of California in Santa Clara County or the Federal Distrxxx Xourt of San Jose, California, as permitted by law. The Superior Court of Santa Clara County and the Federal Distxxxx Court of San Jose shall each have nonexclusive xxxisdiction over disputes under this Agreement. The parties consent to the personal jurisdiction of the above courts.
Choice of Forum and Venue. The Manager and each Member, solely for the benefit of the Manager and the other Members and not for the benefit of any third Person, on his or her own behalf and on behalf of his or her Affiliates, hereby irrevocably submit to the jurisdiction of any Delaware court sitting in Xxxxxxxxxx County, Delaware or any Federal court sitting in the Southern District of Delaware, having subject matter jurisdiction over any action or proceeding arising out of or relating to this Agreement, and the Manager and each Member hereby irrevocably agree that all claims in respect of such actions or proceedings shall be heard and determined in such Delaware court or Federal court; provided, however, that nothing in the foregoing provisions of this Section shall be construed to permit the initiation of an action or proceeding by the Manager or any Member in a manner other than as prescribed or permitted by law and provided, further, however that the foregoing provisions of this Article are intended to govern the situs of actions or proceedings between or among the Manager and the Members, and are not intended to be applicable to the bringing of actions or proceedings by the Manager, a Member or the Company with respect to third Persons.
Choice of Forum and Venue. The Parties hereby consent to the jurisdiction of any state court located within the state of New York and irrevocably agree that all actions or proceedings related to this Agreement shall be litigated in such courts and each party waives any defense of forum non conveniens.
