Cleanup Period. Notwithstanding anything to the contrary, if during the five-day period following the Closing Date a matter or circumstance exists which constitutes a Default, that matter or circumstance will not constitute a Default; provided that (i) the matter or circumstance does not constitute (x) a Major Default or (y) a Default incapable of being cured, (ii) reasonable steps are being taken to cure that matter or circumstance and (iii) such Default is cured or otherwise ceases to exist within five days following the Closing Date. For the avoidance of doubt, nothing in this section shall affect the conditions precedent set forth in Article IV.
Cleanup Period. The Borrower will not permit any calendar year to pass without there being a period of at least 5 consecutive Business Days in such calendar year during which the Borrower has no Advances outstanding.
Cleanup Period. The Lenders and the Administrative Agent acknowledge and agree that if, at any time during the period (herein, the "Cleanup Period") commencing on the Effective Date through but not including the 60th day following the Effective Date, the Borrower shall fail to cause the Target or any of its Subsidiaries to comply with any of the covenants herein or in any of the other Loan Documents, or if any of the representations or warranties made herein or in any of the other Loan Documents (or in any report, financial statement, certificate or other document furnished in connection herewith or therewith) by or on behalf of the Target or any of its Subsidiaries shall prove to have been incorrect in any material respect, then, notwithstanding anything herein to the contrary, such failure to comply with covenants (other than any such failure that is caused or authorized by the Borrower, it being understood that mere knowledge of a failure to comply shall not constitute authorization for purposes hereof) and any such incorrectness with respect to representations or warranties shall not constitute a Default or Event of Default hereunder until after the expiration of the Cleanup Period (and then only to the extent that the same is continuing).
Cleanup Period. Employees shall be granted a fifteen (15) minute period prior to the end of the work shift in which to put away equipment and supplies and for the purpose of personal cleanup.
Cleanup Period. Notwithstanding anything to the contrary, if on the Closing Date a matter or circumstance exists which constitutes a Default, such matter or circumstance will not constitute a Default on the Closing Date and during the five-day period following the Closing Date; provided that (a) such matter or circumstance does not constitute (i) a Major Default or (ii) a Default incapable of being cured, (b) reasonable steps are being taken by Ultimate Parent and its Subsidiaries to cure such Default and (c) such Default is cured or otherwise ceases to exist within five days after the Closing Date. For the avoidance of doubt, nothing in this Section 8.04 shall affect the conditions set forth in Article IV.

Notwithstanding anything to the contrary, if on the date of consummation of the Allergan Acquisition a matter or circumstance exists which constitutes a Default, such matter or circumstance will not constitute a Default during the five-day period following such date; provided that (a) such matter or circumstance does not constitute (i) a Major Default or (ii) a Default incapable of being cured, (b) reasonable steps are being taken to cure such Default and (c) such Default is cured or otherwise ceases to exist within five days following the date of consummation of the Allergan Acquisition.
Cleanup Period. The Lenders and the Administrative Agent acknowledge and agree that if, at any time during the period (herein, the “Cleanup Period”) commencing on the date hereof through but not including the 180th day following the Effective Date, (i) Vincor or any of its Subsidiaries shall fail (or the Borrower shall fail to cause Vincor or any of its Subsidiaries) to comply with any of the covenants herein or in any of the other Loan Documents, (ii) if any of the representations or warranties made herein or in any of the other Loan Documents (or in any report, financial statement, certificate or other document furnished in connection herewith or therewith) with respect to Vincor or any of its Subsidiaries shall prove to have been incorrect in any material respect or (iii) any event or condition that constitutes a default or an event of default under any Vincor Agreement occurs as a result of or in connection with the Vincor Acquisition or Vincor or any of its Subsidiaries is otherwise in breach or violation of any Vincor Agreement, then, notwithstanding anything herein to the contrary, such failure to comply with covenants (other than any such failure that is caused or authorized by the Borrower, it being understood that mere knowledge of a failure to comply shall not constitute authorization for purposes hereof), any such incorrectness with respect to representations or warranties and any such default, event of default, breach or violation shall not constitute (x) a Default or Event of Default hereunder or (y) a failure by the Borrower to have satisfied any of the conditions in Section 5.02 or 5.04, in each case until after the expiration of the Cleanup Period (and then only to the extent that the same is continuing).
Cleanup Period. Notwithstanding any provision to the contrary contained herein, Borrower agrees that for at least sixty (60) consecutive days during each fiscal year ending on the dates specified below the aggregate amount of outstanding Revolving Loans, Swing Line Loans and Term Loans shall not exceed the amount specified for such fiscal year: Fiscal Year Ending Amount September 30, 1997 $ 160,000,000 September 30, 1998 $ 145,000,000 September 30, 1999 $ 130,000,000
Cleanup Period. The Borrower will not permit any calendar year to pass without there being a period of at least five (5) consecutive Business Days in such calendar year during which the Borrower either (a) has no Loans outstanding or (b) to the extent any Loans are outstanding during such period, maintains an amount equal to the aggregate principal amount of such Loans in the 'Control Account' (as defined in the Account Pledge Agreement)."
Cleanup Period. Where is deemed, by Management to be necessary, employees shall be allowed sufficient time to put away tools and clean up their work area prior to quitting time.
