Close Links. Holborn is a group of several organisations each of which is a separate legal entity registered in the relevant jurisdictions in which they operate. The advice provided to you in the respective jurisdictions will be in accordance with the scope of Holborn’s regulatory authorizations in that jurisdiction where applicable. When providing advice on a cross border basis multiple entities may be involved in the advice process. Close Links. An operating license shall not be granted if the close links of a financial undertaking [cf. Point 1 of Art. 1 a]1) with individuals or legal entities impede supervision of the undertaking by the Financial Supervisory Authority. The same applies if Acts or Regulations which apply to such connected parties impede supervision.

Close Links the Fund Manager's relationships with any legal or natural person as described in Chapter 1. § 2, of the Swedish UCITS Act (2004:46). Relevant Person: (a) a member of the board, shareholder, managing director or other manager at the Fund Manager; (b) one of the Fund Managers employees as well as any other natural person who not only performs services for the Fund Manager but is also under the Fund Manager's control and participates in the operation of the fund operations on behalf of the Fund Manager, and (c) a natural person who, in the context of a contract of assignment, carries out part of the fund operations on behalf of the Fund Manager. Partner: natural or legal person that the Fund Manager engages or cooperates with, for example for fund administration, financial advice to customers, marketing, information and sales of fund units or other financial products or services to pension savers within the premium pension sector.

  • Close-outs Subrecipient’s obligation to County shall not end until all close-out requirements are completed. Activities during this close-out period shall be completed in accordance with federal and State regulations and shall include, but are not limited to: making final payments; submitting final invoice(s), report(s), in accordance with the requirements of Paragraph 49, and documentation; disposing of program assets (including the return to County of all unused materials and equipment); remitting any program income balances and accounts receivable to County, and determining the custodianship of records. Notwithstanding the foregoing, the terms of this Contract shall remain in effect during any period that the Subrecipient has control over CDBG funds, including Program Income.

  • Close-out Upon the Close-out of any Contract, the Close-out Amount for such Contract shall be due. If, however, Applicable Law would stay or otherwise impair the enforcement of the provisions of this Agreement or any Contract upon the occurrence of an insolvency related Close-out or Event of Default, then Close-out shall automatically occur immediately prior to the occurrence of such insolvency related Close-out or Event of Default.

  • Measured Internet Traffic Dial-up, switched Internet Traffic originated by a Customer of one Party on that Party’s network at a point in a Verizon local calling area, and delivered to a Customer or an Internet Service Provider served by the other Party, on that other Party’s network at a point in the same Verizon local calling area. Verizon local calling areas shall be as defined by Verizon. For the purposes of this definition, a Verizon local calling area includes a Verizon non-optional Extended Local Calling Scope Arrangement, but does not include a Verizon optional Extended Local Calling Scope Arrangement. Calls originated on a 1+ presubscription basis, or on a casual dialed (10XXX/101XXXX) basis, are not considered Measured Internet Traffic. For the avoidance of any doubt, Virtual Foreign Exchange Traffic (i.e., V/FX Traffic) (as defined in the Interconnection Attachment) does not constitute Measured Internet Traffic.

  • Secondary Market Trading In the event the Public Securities are not listed on the Nasdaq Capital Market or another national securities exchange, the Company will (i) apply to be included in Mergent, Inc. Manual for a period of five (5) years from the consummation of a Business Combination, (ii) take such commercially reasonable steps as may be necessary to obtain a secondary market trading exemption for the Company’s securities in such jurisdictions and (iii) take such other action as may be reasonably requested by the Representative to obtain a secondary market trading exemption in such other states as may be requested by the Representative; provided that no qualification shall be required in any jurisdiction where, as a result thereof, the Company would be subject to service of general process or to taxation as a foreign entity doing business in such jurisdiction.
