Company Spring Camp. Location: Saudi Arabia (thirty (30) Kilometers from Al-Khafji Province) Recreational location identified: Company Spring Camp. which serves Company employees, families and children during the spring season. Opening Month: End-November Closing Month: End-March Duration: 4 Months The Contractor shall provide the following: - Material supply during spring camp season (coal through the season and full equipped coal holder) – Quantity: 600 coal box to cover 4 months – brand: Xxx Xxxxxxxx Charcoal 10KG. - Recreational Program (Opening Ceremony, Closing Ceremony and Weekend Activities “Thursday and Friday” as well as Public Holidays which will be determined by Company) - Trampoline (Quantity: 8 – Minimum Diameter Size 4m x 5m) - Art Booth Contains henna paintings, face painting and beads creation. Children shall be taught to create hair beads and bracelets. - Popcorn and pancake machine (free of charge for minimum 500 guests) - Family and Home businesses Minimum of 3 of the below family home businesses to be available on daily basis (Food businesses – Arabic menu, Sweet Arabic Menu, Hot and Cold Beverages Business). - Tents/replacement based on the condition of the tent under Company. (Note: company is obligated to provide to the contractor the standard of the tent that has to be used during the season – brand and quantity). Contractor should be able to provide rental or procurement tent pricing in case company replace tents.   • Excluded Liabilities Notwithstanding the provisions of Section 2.03 or any other provision in this Agreement to the contrary, Buyer shall not assume and shall not be responsible to pay, perform or discharge any Liabilities of Seller or any of its Affiliates of any kind or nature whatsoever other than the Assumed Liabilities (the “Excluded Liabilities”). Seller shall, and shall cause each of its Affiliates to, pay and satisfy in due course all Excluded Liabilities which they are obligated to pay and satisfy. Without limiting the generality of the foregoing, the Excluded Liabilities shall include, but not be limited to, the following:

  • Retained Liabilities The Retained Liabilities shall remain the sole responsibility of and shall be retained, paid, performed and discharged solely by Seller. “Retained Liabilities” shall mean every Liability of Seller other than the Assumed Liabilities, including:

  • Certified and Minority Business Enterprises Reports Upon Customer request, the Contractor shall report to the requesting Customer the Contractor’s spend with certified and other minority business enterprises in the provision of commodities or services related to the Customer’s orders. These reports shall include the period covered, the name, minority code, and Federal Employer Identification Number of each minority business utilized during the period; commodities and services provided by the minority business enterprise, and the amount paid to each minority business enterprise on behalf of the Customer.

  • Assumed Liabilities Subject to the terms and conditions set forth herein, Buyer shall assume and agree to pay, perform and discharge only the following Liabilities of Seller (collectively, the “Assumed Liabilities”), and no other Liabilities:

  • Excluded Assets Notwithstanding the foregoing, the Purchased Assets shall not include the following assets (collectively, the “Excluded Assets”):

  • Excluded Expenditures The Recipient undertakes that the proceeds of the Financing shall not be used to finance Excluded Expenditures.   • FUTURE LIABILITIES Each Spouse warrants to the other that they shall not incur, after the effective date of this Agreement, any liability for which the other shall be or may become personally liable or that could be enforced against an asset held by the other Spouse.

  • BUSINESS PROFITS 1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

  • Employee Liability In the event an employee becomes a defendant in a civil liability suit arising out of actions taken or not taken in the course of his/her employment for the state, he/she has the right to request representation and indemnification through his/her agency in accordance with RCW 4.92.060 and 070 and agency policy.

  • Utilization of Minority Business Enterprises The Contractor shall perform under this Contract in accordance with 45 C.F.R. Part 74; and, as applicable, C.G.S. §§ 4a-60 to 4a-60a and 4a-60g to carry out this policy in the award of any subcontracts.
