Compensation Definitions. Adjusted Gross Revenue: shall consist of all advertising fees paid by Advertisers to Taboola for placement of advertising on the Website(s), net of any applicable taxes thereon (“Gross Revenue”), minus processing fees of up to ten percent (10%) of Gross Revenue, which may include, without limitation, the total amount of credit card processing fees, bad debt, operational costs, charge-backs, deductions, reversals, or credits and refunds to Advertisers. Desktop/Mobile/Tablet/App: "Desktop" shall mean stationary computing equipment or a hinged portable laptop device (e.g. tower or mini tower case devices, laptops, or notebook computers). "Mobile" shall mean handheld portable computing devices with a screen diagonal measurement up to 6 inches, normally including a phone and/or camera capability (e.g. Apple iPhone or Android phone computing devices). "Tablet" shall mean handheld flat screened, portable, non-hinged devices with a screen diagonal measurement of greater than 6 inches (e.g. iPad, iPad mini, Galaxy tablets, and Microsoft Surface). “Mobile Optimized” shall mean a website page that has been designed differently than Desktop pages for optimal viewing on Mobile devices. “App” shall mean Publisher’s iOS, Android or Windows computer program designed to run on Mobile or Tablet devices. The final metric regarding the definitions of Desktop, Mobile, Tablet, and App will be the user agent device ID, recognized and tabulated uniformly by Taboola’s Backstage platform for all Taboola clients.

Compensation Definitions. Offseason: October 1, 2021 through March 31, 2022 Summer Term: April 1, 2022 through September 30, 2022 Qualifying Account: New DISH non-flex video pay TV activations, T-Mobile accounts, Internet accounts, and ADT security accounts. Chargebacks: Accounts that deactivate from DISH service within approximately six (6) months of activation, T-Mobile lines that deactivate within approximately six (6) months of activation (pauses in service will not count towards the chargeback period), and ADT security accounts that deactivate within approximately six (6) months of installation. Additional terms apply as set forth my fully below. Personal Sales Compensation A Representative will be paid commissions on each Qualifying Account sold and activated by the Representative. Compensation will be processed weekly in arrears. A Representative will be paid all commissions for Qualifying Accounts activated during the prior Sunday through Saturday period on the following Friday. For example, a Qualifying Account activation that occurred on a Sunday would pay out 11 days later, and a Qualifying Account activation that occurred on a Saturday would pay out on the following Friday, 6 days later. A Representative's compensation will be determined and agreed to after the Representative signs and executes this Agreement. Chargebacks A Representative will have 15% of applicable commissions held back to cover Chargebacks. Chargebacks will be automatically deducted from a Representative's following commission payments. The holdback on accounts that have not charged back will be paid to active Representatives on the second Friday of the month after the chargeback liability period has passed. • Processing fees and deductions are not subject to the holdback DISH Chargeback Period There will be a six-month chargeback window for all activations of Qualifying DISH Accounts. Caliber may in its sole and absolute discretion offset any chargebacks that occur during the six- month chargeback window against commissions or other forms of compensation due and owing to the Representative.
Compensation Definitions. Reimbursable costs include: fees of Professional Subcontractors (whose expertise is required to complete the project) and out-of-pocket expenses, the cost of which shall be charged at actual costs plus an administrative charge of ten percent (10%) and shall be itemized and included in the invoice.
