Compliance with All Government Regulations. Independent Contractor shall comply with all Federal, State and local laws, codes, regulations and ordinances applicable to the work performed under this Agreement. Failure to comply with such requirements shall constitute a breach of contract and shall be grounds for termination of this Agreement. Damages or costs resulting from noncompliance shall be the sole responsibility of Independent Contractor.
Compliance with All Government Regulations. 5.1. The parties specifically agree that the majority of the directors on the Board of the Company, including the Chairman, Managing Director and the Chief Executive Officer of the Company, shall be resident Indian citizens
Compliance with All Government Regulations. Contractor shall comply with all Federal, State, and local laws, codes, regulations, and ordinances applicable to the work performed under this Agreement. Failure to comply with such requirements shall constitute a breach of contract and shall be grounds for termination of this Agreement. Damages or costs resulting from noncompliance shall be the sole responsibility of Contractor. This section includes, but is not limited to, compliance with all applicable requirements of Federal and State civil rights statutes, rules, and regulations, and all applicable provisions of the Americans with Disabilities Act of 1990, 42 USC Section 12101 et seq. and Section 504 of the Rehabilitation Act of 1973. This section also includes all applicable requirements listed in Exhibit B Federal Requirements and Certifications for SHSP Grant, incorporated herein by this reference, as required under the SHSP grant received by City from OEM.

By executing this Agreement, Independent Contractor certifies that, to the best of its knowledge, Independent Contractor is eligible to contract with the CITY as a public body, and is not in violation of any rule, law or regulation that would prohibit the CITY from entering into an Agreement with Independent Contractor. Independent Contractor shall comply with all Federal, State and local laws, codes, regulations and ordinances applicable to the work performed under this Agreement. Failure to comply with such requirements shall constitute a breach of contract and shall be grounds for termination of this Agreement. Damages or costs resulting from noncompliance shall be the sole responsibility of Independent Contractor.
