Compliance with Authorisations Clause Samples
The 'Compliance with Authorisations' clause requires parties to obtain, maintain, and comply with all necessary permits, licenses, or approvals from relevant authorities needed to perform their obligations under the agreement. Compliance with Authorisations. At any time any Authorisation required to be done, fulfilled, obtained, renewed, extended, complied with or performed, or in order -
33.12.1 to ensure the legality, validity, binding nature and enforceability of the Borrower's obligations under the Finance Documents;
33.12.2 to carry out the Borrower's business and operations generally;
33.12.3 to enable any Person lawfully to enter into and perform the obligations expressed to be assumed by it in the Finance Documents to which it is a party, or
33.12.4 to ensure that the obligations expressed to be assumed by any Person in the Finance Documents to which such Person is a party are legal, valid and binding and enforceable against it in accordance with the terms thereof, COMMOM TERMS AGREEMENT EXECUTION COPY is not done, fulfilled, obtained, renewed, extended, complied with or performed when so required or otherwise ceases to be in full force and effect; or
Compliance with Authorisations. Each Transaction Party must (and must ensure that each of its Subsidiaries (other than any Dormant Subsidiary) does):
(a) obtain and maintain and comply with all material conditions under (and must promptly remedy any material breaches and pay all relevant fines in respect of) all Authorisations required:
(1) for the execution, delivery and performance by it of the Transaction Documents to which it is a party and the transactions contemplated by those documents;
(2) the validity and enforceability against it of each Transaction Document to which it is a party, or to enable it to perform its obligations under each Transaction Document to which it is a party; or
(3) in relation to it or any of its assets (including under Environmental Law) where failure to do so would or would be reasonably likely to affect its ability to properly carry out its business as currently conducted or contemplated in any material respect; and
(b) not do anything which would prevent the renewal of any Authorisation referred to in clause 10.7(a).
Compliance with Authorisations. All Material Authorisations have been complied with in all material respects by the relevant Target Entity, where any such non-compliance will, or would reasonably be likely to, have a material adverse effect on the Ingeus Group.

(a) result in an Authorisation being terminated, suspended or modified in any material respect or not being renewed;
(b) require material work or expenditure to maintain or secure the ability of any Group Company to renew any Authorisation.
