Condition on Expiration. At the expiration or earlier termination of the Term, Tenant (and all persons claiming through Tenant) shall without the necessity of notice vacate and surrender the Premises broom-clean and in good and tenantable condition reasonable wear and tear excepted. As part of such delivery, Tenant shall also provide all keys (or lock combinations, codes or electronic passes) to the Premises; remove all signs regardless of date of installation wherever located and all Tenant Work except for any items of such Work that Landlord in its sole discretion may direct Tenant to surrender; remove all Tenant Property and other personal property whether or not bolted or otherwise attached; and remove all of Tenant's signs wherever located. If requested in writing, Landlord shall advise Tenant at the time of Landlord's approval of Tenant Work (or for Tenant Work not requiring Landlord's approval, within thirty (30) days of Tenant's written request) whether Landlord requires removal of such Tenant Work at the expiration or earlier termination of the Term. Tenant shall repair all damage that results from such removal and restore the Premises substantially to a fully functional and tenantable condition (including the filling of all floor and wall holes, the removal of all disconnected wiring back to junction boxes, the replacement of all damaged ceiling tiles and the repair of any damage caused by the removal of any bolted or anchored equipment). Any property not so removed shall be deemed abandoned, shall (if Landlord so elects) become the property of Landlord, and may be disposed of in such manner as Landlord shall see fit; and Tenant shall pay the cost of removal and disposal to Landlord upon demand. Notwithstanding anything to the contrary contained herein, upon expiration or earlier termination of this Lease, all fixtures regardless of date of installation that are integral to the operation of the Premises and are not "trade fixtures" of Tenant, including the heating, ventilation and air conditioning systems, shall remain on the Premises and be the property of Landlord; provided, however, that at Landlord's election, Tenant shall, at its expense and in compliance with all applicable laws, remove any piping, venting systems and other similar equipment or fixtures not representing standard HVAC and potable water equipment or fixtures. Without implying that other covenants do not survive, the covenants of this Section shall survive the Term.

If Tenant fails to return possession of the Premises to Landlord in this condition, Tenant shall reimburse Landlord for the costs, including Landlord’s standard administration fee, incurred to put the Premises in the condition required under this §3.3. Tenant’s Personal Property left behind in the Premises after the end of the Term will be considered abandoned and Landlord may move, store, retain or dispose of these items at Tenant’s cost, including Landlord’s standard administration fee.

Condition on Expiration. On Expiration, Tenant must promptly deliver all keys for the Premises to Landlord. Tenant will surrender the Premises broom clean and in the same condition as on the Commencement Date, reasonable wear and tear excepted. Any damage to the Premises resulting from the removal of trade fixtures or other items of personal property will be repaired at Tenant’s expense. Tenant will reimburse all expenses paid or incurred by Landlord in connection with repairing or restoring the Premises to the designated condition immediately upon demand. Tenant will remove its personal property and trade fixtures from the Premises immediately on termination. Tenant represents that it is Xxxxxx’s intention that all personal property and trade fixtures remaining on the Premises after termination are abandoned by Tenant.

  • Condition on delivery If a Vehicle accepted by an Authorized User is found to have been delivered with minor deviations or improper servicing, the Contractor must arrange to have the necessary work done within 48 hours (exclusive of Saturdays, Sundays and Federal or NYS Holidays) after receipt of written notification from the Authorized User and/or NYSPro. If Contractor cannot arrange to have the necessary work done within such time period, the corrections shall be made by an entity of the Authorized User’s choosing and Contractor will be required to reimburse the Authorized User for this expense within thirty (30) calendar days of request. At point of acceptance, the Vehicle shall have an odometer reading that is consistent with the miles, in distance, to the anticipated odometer mileage incurred between the OEM factory, the Contractor’s place of business, or other OEM Dealer location that is nearest to the delivery location, the Aftermarket Component Provider (if applicable), and the point of delivery. In the event that a Vehicle is delivered with an odometer reading that the Authorized User considers to be excessive, the Contractor shall be required to provide a reasonable explanation for the odometer reading. Vehicles that are delivered with an odometer reading that is considered excessive without a reasonable explanation, as determined by the Authorized User, may be rejected by the Authorized User.

  • Limitation on Use COLLEGE and SCHOOL DISTRICT shall use each student education record that he or she may receive pursuant to this CCAP Agreement solely for a purpose(s) consistent with his or her authority to access that information pursuant to Federal and State law, as may be as applicable. (34 C.F.R. § 99.31, 34 C.F.R. § 99.34, and Education Code § 49076.)

  • Termination on Financial Standing The Authority may terminate this Framework Agreement by serving notice on the Supplier in writing with effect from the date specified in such notice where (in the reasonable opinion of the Authority), there is a material detrimental change in the financial standing and/or the credit rating of the Supplier which: 26.10.1 adversely impacts on the Supplier's ability to supply the Services under this Framework Agreement; or 26.10.2 could reasonably be expected to have an adverse impact on the Supplier’s ability to supply the Services under this Framework Agreement.

  • Termination on Notice The Province may terminate the Agreement at any time without liability, penalty, or costs upon giving at least 30 days’ Notice to the Recipient.

  • Restriction on Use The Contractor agrees that to the extent it receives or is given any information from NYSERDA or a NYSERDA contractor or subcontractor, the Contractor shall treat such data in accordance with any restrictive legend contained thereon or instructions given by NYSERDA, unless another use is specifically authorized by prior written approval of the NYSERDA Project Manager.
