Conditional Effectiveness. The effectiveness of this Agreement is conditioned upon Company and SAFC duly executing and delivering the Quality Agreement.
Conditional Effectiveness. Notwithstanding anything to the contrary herein, none of the provisions in Articles VI, and IX of this Agreement shall be effective until the Closing. Until the Closing, Articles VI, and IX of the Joint Venture Agreement, as amended by Article 4 of the Second Amendment, shall remain in full force and effect, except that all references to LCI in the Joint Venture Agreement, the First Amendment and the Second Amendment shall be interpreted as references to LCE.
Conditional Effectiveness. This Agreement is subject to the approval of the ADC Agreement by the Bermuda Monetary Authority. If the Bermuda Monetary Authority fails to approve the ADC Agreement within ten ( I 0) Business Days of the date hereof, this Agreement sha ll be void and of no further force or effect. Conditional Effectiveness. As a condition of the effectiveness of this Article, the Association agrees to indemnify and save the District, each individual School Board member, and all administrators harmless against any and all claims, demands, costs, suits or other forms of liability and all court or administrative agency costs that may arise out of, or by reason of, action taken by the District for the purpose of complying with this Article.
Conditional Effectiveness. Executive’s right to receive the deferred stock grant under this Agreement is conditioned on the Company receiving shareholder approval of an amendment to the Plan to increase the limit of the number of shares subject to awards under the plan to an individual in a calendar year.
Conditional Effectiveness. Notwithstanding any provision of this Lease to the contrary, the effectiveness of this Lease, and the rights and obligations of Tenant and of Landlord hereunder, are conditioned in all respects upon the Landlord’s acquisition of record title to the Property pursuant to the purchase option provided in the Prior Lease. In the event Landlord has not acquired record title to the Property pursuant to the purchase option provided in the Prior Lease on or before December 22, 2020, this Lease shall be deemed automatically terminated.
Conditional Effectiveness. Notwithstanding anything to the contrary herein, continued effectiveness of this Agreement shall be subject to and conditioned upon occurrence of the Closing (as defined in the Stock Purchase Agreement). In the event the Stock Purchase Agreement is terminated in accordance with Section 5 thereof, this Agreement shall automatically terminate in its entirety with no further liability to any party hereto.
Conditional Effectiveness. The Company and each of the Preferred ------------------------- Holders hereby agree that this Agreement shall only become effective upon the consummation of the transactions contemplated by the Stock Purchase Agreement.
Conditional Effectiveness. The Finance Leasing Agreement will become effective after being signed and sealed by legal representatives or authorised personnel of both parties (or personal seal) and being considered and approved at the general meeting of the Company.
