Conditions; Determination of Earned Award. Except as otherwise provided herein, the Grantee’s right to receive any Performance Shares is contingent upon his or her remaining in the continuous employ of the Corporation or a Subsidiary through the end of the Performance Period. For purposes of this Agreement, the continuous employ of the Grantee shall not be considered interrupted or terminated in the case of transfers between locations of the Corporation and its Subsidiaries. Following the Performance Period, with respect to Grantees that are Covered Employees, the Committee shall certify that the Management Objectives have been satisfied and shall determine the number of Performance Shares that shall have become earned hereunder. In all circumstances, the Committee shall have the ability and authority to reduce, but not increase, the amount of Performance Shares that become earned hereunder.

Except as otherwise provided herein, the Grantee’s right to receive any Performance Shares is contingent upon his or her remaining in the continuous employ of the Company or a Subsidiary through the end of the Performance Period. Following the Performance Period, the Committee shall determine whether and to what extent the goals relating to XXX have been satisfied for the Performance Period and shall determine the percent of Target Performance Shares that shall have become earned hereunder.

Following a Performance Period, the Board or the Compensation Committee will determine whether and to what extent the goals relating to Performance Objectives have been satisfied for the Performance Period and will determine the number of Performance Shares that will have become earned hereunder. Notwithstanding the foregoing, to the extent it would not cause imposition of a tax under Section 409A of the Code, Gentex may accelerate the vesting of the Performance Shares at any time in part or in full.

Following the Performance Period, the Committee (or the independent members of the Board of Directors) shall determine whether and to what extent the goals relating to TSR Relative to Peers have been satisfied for the Performance Period and shall determine the number of performance shares that shall have become earned hereunder.
Conditions; Determination of Earned Award. Except as otherwise provided herein, Grantee’s right to receive shares of Common Stock upon settlement of PRSUs is contingent upon his or her remaining in the continuous employ of the Company or a Subsidiary until (the “Vesting Date”). As soon as practicable on or after the Vesting Date, the [Board] Committee shall determine the Average Stock Price and shall determine the number of PRSUs that shall have become earned hereunder. Subject to the terms of the Plan, before any PRSUs are settled, the [Board] Committee shall make a determination that the performance conditions set forth in this Agreement have been satisfied.

Following the Performance Periods, the Committee (or the independent members of the Board of Directors) shall determine whether and to what extent the goals relating to TSR Relative to Peers have been satisfied for each Performance Period and shall determine the number of performance shares that shall have become earned hereunder.
