Conditions to Obligations of the Parent and the Merger Sub. The obligations of the Parent and the Merger-Sub to effect the Merger is further subject to the fulfillment, at or prior to the Closing, of each of the following additional conditions (all or any of which may be waived in whole or in part by the Parent and the Merger-Sub and in their sole discretion): a REPRESENTATIONS AND WARRANTIES. The representations and warranties made by Duck in this Agreement shall be true and correct in all material respects as of the Closing Date as though made on and as of the Closing Date or, in the case of representations and warranties made as of a specified date earlier than the Closing Date, on and as of such earlier date, and Duck shall have delivered to the Parent and Merger-Sub a certificate, dated the Closing Date and executed on behalf of Duck by a duly authorized officer, to such effect. b PERFORMANCE OF OBLIGATIONS. Duck shall have performed and complied with, in all material respects, each agreement, covenant and obligation required by this Agreement to be so performed or complied with by Duck at or prior to the Closing, and Duck shall have delivered to the Parent and Merger-Sub a certificate dated the Closing Date and executed on behalf of Duck by a duly authorized officer, to such effect.
