Confidentiality and Assignment of Inventions. Concurrently with execution and delivery of this Agreement and in consideration of your employment by the Corporation, you and the Corporation will enter into a "Confidentiality Agreement and Assignment of Inventions" in the form attached hereto as SCHEDULE C.
Confidentiality and Assignment of Inventions. As a condition of this Agreement, Consultant agrees to all the terms of Section 1, Exhibit 2 (Confidentiality) and Section 2, Exhibit 2 (Assignment of Inventions).

The Inventions Agreement signed by Employee, a copy of which is attached hereto, is specifically incorporated herein by reference.

Xxxxx agrees that as a key employee of the Company he is required to have executed a Key Employee Proprietary Information and Inventions Agreement (the "PROPRIETARY INFORMATION AGREEMENT") in the form attached hereto as Exhibit D. Xx. Xxxxx further agrees that if he can not produce an executed Proprietary Information Agreement within two (2) days of the Resignation Date, he will sign the form attached as Exhibit D.

Concurrently with execution and delivery of this Agreement and in consideration of the Director's relationship with the Corporation, the Director and the Corporation will enter into a "CONFIDENTIALITY AGREEMENT AND ASSIGNMENT OF INVENTIONS" in the form attached hereto as SCHEDULE B.

The Consultant acknowledges that he has on or prior to the date of this agreement, executed and delivered to Hybridon an Invention and Non-Disclosure Agreement (the "Confidentiality Agreement"), incorporated into the present Agreement here in SCHEDULE A attached. The Consultant hereby affirms and ratifies the obligations thereunder. The Consultant represents that his retention as a consultant with Hybridon and his performance under this Agreement does not, and shall not, breach any agreement that obligates him to keep in confidence any trade secrets or confidential or proprietary information of his or of any other party or to refrain from competing, directly or indirectly, with the business of any other party. The Consultant shall not disclose to Hybridon any trade secrets or confidential or proprietary information of any other party.

Xxxx and the Corporation will enter into a “Confidentiality Agreement and Assignment of Inventions” in the form attached hereto as Schedule A.
