Confidentiality and Assignment of Inventions. Concurrently with execution and delivery of this Agreement and in consideration of your employment by the Corporation, you and the Corporation will enter into a "Confidentiality Agreement and Assignment of Inventions" in the form attached hereto as SCHEDULE C.

Confidentiality and Assignment of Inventions. As a condition of this Agreement, Consultant agrees to all the terms of Section 1, Exhibit 2 (Confidentiality) and Section 2, Exhibit 2 (Assignment of Inventions).

You agree to hereby waive in whole all moral rights and agree never to assert any moral rights which you have in your Work Product (as defined in the Confidentiality Agreement), including, without limitation, the right to the integrity of such Work Product, the right to be associated with the Work Product, the right to restrain or claim damages for any distortion, mutilation or other modification or enhancement of the Work Product in any context and in connection with any product, service, cause or institution and you further confirm that the Company may use or alter any such Work Product as the Company sees fits in its absolute discretion.

Confidentiality and Assignment of Inventions. Xx. Xxxxx agrees that as a key employee of the Company he is required to have executed a Key Employee Proprietary Information and Inventions Agreement (the "PROPRIETARY INFORMATION AGREEMENT") in the form attached hereto as Exhibit D. Xx. Xxxxx further agrees that if he can not produce an executed Proprietary Information Agreement within two (2) days of the Resignation Date, he will sign the form attached as Exhibit D.

Confidentiality and Assignment of Inventions. A condition of your employment will be your willingness to enter into an agreement in respect of confidentiality, and assignment of inventions acceptable to the Company. You will be bound by the Confidentiality Agreement and Assignment of Inventions that you sign (the “Confidentiality Agreement"). This provision shall not apply to any invention or discovery you are entitled to retain under California Labor Code section 2870, a copy of which is attached as Schedule F.

Confidentiality and Assignment of Inventions. Concurrently with execution and delivery of this Agreement and in consideration of the Consultant's and the Consultant's Designated Employee's relationship with the Corporation, the Consultant, the Consultant's Designated Employee and the Corporation will enter into a "Confidentiality Agreement and Assignment of Inventions" in the form attached hereto as SCHEDULE B.

Confidentiality and Assignment of Inventions. Employee has previously executed and delivered a copy of the Company’s Employee Confidentiality and Assignment of Inventions Agreement (the “Inventions Agreement”) with respect to employee confidentiality, assignment of inventions and other matters, and agrees to abide faithfully by the provisions thereof both during and following expiration of this Agreement for the period of time set forth therein. The Inventions Agreement signed by Employee, a copy of which is attached hereto, is specifically incorporated herein by reference.
