Confidentiality of Tax Information. Unless otherwise required by Applicable Laws, securities regulatory authority or stock exchange regulations or legal proceedings, each Party shall, and shall cause its Representatives to, keep confidential and non-public Tax information, records, and documents disclosed by the other Party, or to which that Party has received or been granted access, pursuant to this Article 11 and will not use that Tax information for any purpose other than making the determinations and taking such other actions contemplated by this Article 11.

Confidentiality of Tax Information. Program sponsors must obtain written assurance from all volunteers and all other individuals involved in the pro- gram, to respect the confidentiality of income and financial information known as a result of preparation of a return or of providing tax counseling assistance in the preparation of Fed- eral income tax returns.

All principals, officers, employees and independent auditors/examiners of RIVERTREE involved with the services provided by RIVERTREE under this Agreement, prior to undertaking such services, shall execute an agreement in form and context acceptable to the Client binding such principals, officers, employees and independent auditors/examiners to observe the Confidentiality Laws.

Confidentiality of Tax Information. Unless otherwise required by law, stock exchange regulation or legal proceedings, each party shall, and shall cause its Representatives to, keep confidential any nonpublic Tax information, records and documents disclosed by the other party, or to which such party has received or been granted access, pursuant to this Article X and shall not use such Tax information for any purpose other than making the determinations and taking such other actions contemplated by this Article X. Notwithstanding the foregoing, the obligations of confidentiality contained in this Agreement shall not apply to the "tax treatment" and "tax structure," within the meaning of Treasury Regulation Section 1.6011-4, of the transaction contemplated by this Agreement and all materials of any kind (including opinions or other tax analyses that are provided to Seller and Buyer relating to such tax treatment and tax structure) (but no other details regarding matters covered by this Agreement, including the identities of the parties) upon the earlier to occur of (i) the date of the public announcement of discussions relating to the transactions contemplated by this Agreement, (ii) the date of the public announcement of the transaction contemplated by this Agreement, or (iii) the date of this Agreement; provided, however, that each party recognizes that the foregoing is not intended to affect either party's privilege to maintain, in its sole discretion, the confidentiality of communications with its attorneys or with a federally authorized tax practitioner under Section 7525 of the Code and each party may consult with a tax advisor regarding the tax treatment and tax structure at any time.

Notwithstanding any provision of this Agreement to the contrary, the parties hereto (and each of their respective affiliates, employees, representatives, or other agents) may disclose to any and all persons, without limitation of any kind, the tax treatment and tax structure of the transactions contemplated hereby and all materials of any kind relating to such tax treatment and tax structure.
