Consent to Waiver. In reliance upon the representations, warranties and agreements set forth herein, the Agent and the Lenders hereby consent to waive any Event of Default resulting from the failure of the Borrower to comply with the terms of Section 8.18(a)(ii) of the Loan Agreement for the fiscal quarter ended March 31, 2008.

Consent to Waiver. By signing this agreement, the Successor Agency acknowledges that it is aware of potential conflicts associated with concurrent representation; that it is aware of the City Attorney's present and continuing relationship with the City; and that the Successor Agency, upon requesting assistance from the City Attorney under this Agreement, and having been presented with the information about potential and actual conflicts of interest as required by this section, provides its consent under Rule 3-310 of the Rules of Professional Conduct to the City Attorney's ongoing representation of the City, notwithstanding any potential or actual conflict of interest between the City and the Successor Agency that exists or may develop. The Successor Agency waives any and all rights to disqualify the City Attorney from representing the City in any matter based on a conflict of interest arising out of concurrent representation of the City and the Successor Agency. The Successor Agency's consent and waiver extends to "subsequent representation," where by reason of the City's former representation of the Successor Agency in a matter, the City has confidential information material to a matter in which the City's interests are adverse to the Successor Agency's interests, and the City Attorney no longer represents the Successor Agency in any matter.
Consent to Waiver. Any provision of this Certificate of Designation applicable to the Series C-1 Preferred Stock may be waived by the affirmative vote or written consent of the Required Holders, which vote or written consent shall bind all Series C-1 Holders, and all future Series C-1 Holders for which such rights have been waived.
Consent to Waiver. The Holder hereby consents to waive (i) the Specified Default, (ii) any obligation to make the interest payment otherwise due on the Notes on September 1, 2023 (the “September Interest Payment”), and (iii) any failure to deliver a notice or any obligation to pay default interest imposed pursuant to Section 2.05 of the Indenture, in each case in respect of the foregoing clauses (i) and/or (ii). The Holder acknowledges and agrees that, subject to the satisfaction of the conditions set forth in Section 3.4 below, (x) by consenting to waive the Specified Default and the September Interest Payment, Holder shall not seek any remedy available under the Indenture as it relates to these matters, (y) Company’s payment obligation with respect to the Specified Accrued Interest and the September Interest Payment shall be deemed to have been fully satisfied and discharged and (z) Company not making the September Interest Payment shall not be deemed to constitute a default.
Consent to Waiver. As of the Effective Date, each Lender which is also a party to the Existing CRL Credit Agreement hereby consents to waive compliance with Section 6.09 thereof for the purpose of permitting the Borrower to enter into this Agreement until the earlier to occur of (i) the First Borrowing Date or (ii) such time as the Commitments have been terminated.
Consent to Waiver. The Administrative Agent and each Lender party hereto hereby agrees to waive the notice requirements set forth in Section 2.11.1 and 2.11.2 of the Credit Agreement in connection with this Agreement. The waiver set forth in this Section 10 shall be limited precisely as herein written and relates solely to the 2020 Incremental Commitment and this Agreement. Nothing in this Agreement shall be deemed to (x) constitute a waiver of compliance by the Loan Parties with respect to the Credit Agreement or with respect to any other term, provision or condition of the Credit Agreement or the other Loan Documents or any other instrument or agreement referred to therein and (y) prejudice any right or remedy that the Administrative Agent or any Lender may now have or may have in the future under or in connection with the Credit Agreement and the other Loan Documents or any other instrument or agreement referred to therein.

EACH PARTY FURTHER AGREES THAT SERVICE OF ANY PROCESS, SUMMONS, NOTICE OR DOCUMENT BY UNITED STATES REGISTERED MAIL TO SUCH PARTY’S RESPECTIVE ADDRESS SET FORTH HEREIN SHALL BE EFFECTIVE SERVICE OF PROCESS FOR ANY SUCH ACTION, SUIT OR PROCEEDING.   • Consent to Forum EACH OBLIGOR HEREBY CONSENTS TO THE NON-EXCLUSIVE JURISDICTION OF ANY FEDERAL OR STATE COURT SITTING IN OR WITH JURISDICTION OVER NEW YORK, IN ANY PROCEEDING OR DISPUTE RELATING IN ANY WAY TO ANY LOAN DOCUMENTS, AND AGREES THAT ANY SUCH PROCEEDING SHALL BE BROUGHT BY IT SOLELY IN ANY SUCH COURT. Nothing herein shall limit the right of Agent or any Lender to bring proceedings against any Obligor in any other court, nor limit the right of any party to serve process in any other manner permitted by Applicable Law. Nothing in this Agreement shall be deemed to preclude enforcement by Agent of any judgment or order obtained in any forum or jurisdiction.

  • Consent to Jurisdiction; Waiver of Immunity Any legal suit, action or proceeding arising out of or based upon this Agreement or the transactions contemplated hereby (“Related Proceedings”) shall be instituted in (i) the federal courts of the United States of America located in the City and County of New York, Borough of Manhattan or (ii) the courts of the State of New York located in the City and County of New York, Borough of Manhattan (collectively, the “Specified Courts”), and each party irrevocably submits to the exclusive jurisdiction (except for proceedings instituted in regard to the enforcement of a judgment of any such court (a “Related Judgment”), as to which such jurisdiction is non-exclusive) of such courts in any such suit, action or proceeding. Service of any process, summons, notice or document by mail to such party’s address set forth above shall be effective service of process for any suit, action or other proceeding brought in any such court. The parties irrevocably and unconditionally waive any objection to the laying of venue of any suit, action or other proceeding in the Specified Courts and irrevocably and unconditionally waive and agree not to plead or claim in any such court that any such suit, action or other proceeding brought in any such court has been brought in an inconvenient forum.

IN THE EVENT LANDLORD COMMENCES ANY SUMMARY PROCEEDINGS OR ACTION FOR NONPAYMENT OF BASE RENT OR ADDITIONAL RENT, TENANT SHALL NOT INTERPOSE ANY COUNTERCLAIM OF ANY NATURE OR DESCRIPTION (UNLESS SUCH COUNTERCLAIM SHALL BE MANDATORY) IN ANY SUCH PROCEEDING OR ACTION, BUT SHALL BE RELEGATED TO AN INDEPENDENT ACTION AT LAW.
