Consultant is Independent Contractor. 11.1. Consultant is an independent contractor for all purposes and shall be entitled to no compensation other than the Compensation Amount provided for under Section 4 of this Agreement. Consultant will be solely responsible for determining the manner and means of accomplishing the end result of Consultant’s Services. The City does not have the right to control or interfere with the manner or method of accomplishing said Services. The City, however, will have the right to specify and control the results of Consultant’s Services so such Services meet the requirements of the Project.

Consultant is Independent Contractor. A. The City’s project director, or designee, shall be responsible for determining whether Consultant’s work product is satisfactory and consistent with this Agreement, but Consultant is not subject to the direction and control of the City. Consultant shall be an independent contractor for all purposes and shall not be entitled to compensation other than the compensation provided for under Section 3 of this Agreement. The City’s acceptance of the work product as satisfactory does not relieve the Consultant from responsibility for any errors in the work product.

Consultant is Independent Contractor. Consultant acknowledges that it is an independent contractor in its performance of any and all work pursuant to this Agreement, and the only obligations assumed by API are those specifically described in this Agreement. No association, partnership, or joint venture of any kind has been created by this Agreement.
