CONSULTING PARTNER BUSINESS PRACTICES. 1. Ethical Business Practices. Partner shall at all times, conduct her or his Qyral business in a manner that reflects favorably at all times on the Qyral Products and the name, goodwill, and reputation of Qyral. Partner shall not engage in deceptive, misleading, or unethical conduct or practices that are or might be detrimental to Qyral, the Products, other Partners or the public. Partner shall comply with all laws, rules, regulations, and governmental requirements applicable to the operation of her/his independent Qyral business and performance of her/his obligations under this Agreement, including the marketing, promotion, and sale of the Qyral Products. In addition, Partner shall: (i) not publish or use any misleading or deceptive advertising material regarding Qyral or its Products; (ii) not make any statements, representations, guarantees, or warranties regarding the Qyral Products that are inconsistent with those set forth in Qyral Product packaging or marketing materials (whether with regard to prices, quality, performance, standards, grades, contents, style or model, place of origin, availability, or otherwise); (iii) not distribute the Qyral Products outside of Qyral’s suite of business tools; (iv) not alter or modify any Qyral Product or packaging, or take any action that affects or could affect the appearance, quality, content, or performance of any Qyral Product; (v) not place orders for the sole purpose of achieving a title, Rank, incentive, award, or bonus; (vi) not sell the Qyral Products through any online third party marketplaces such as Xxxxxx.xxx, Xxxxxxx.xxx, eBay or any similar sites; and (vii) not make any online postings, or link to or from any postings or other material that is sexually explicit, obscene, pornographic, offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing, or discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise), is graphically violent, is solicitous of any unlawful behavior, that engages in personal attacks on any individual, group, or entity, or is in violation of any intellectual property rights of the Qyral or any third party.

Contractor certifies that it has no officers who have served as officers of other entities who have been the subject of allegations of Deceptive Trade Practices violations or allegations of any unfair business practices in an administrative hearing or court suit and that such officers have not been found to be liable for such practices in such proceedings.

  • Ethical Business Practices The Contractor shall work in partnership with the State to ensure a successful and valuable contract, and ethical practices are required of State employees, Contractors, and all parties representing the Contractor. All work performed under this Contract will be subject to review by the Inspector General of the State of Florida, and any findings suggesting unethical business practices may be cause for termination or cancellation.

  • Business Partners Red Hat has entered into agreements with other organizations (“Business Partners”) to promote, market and support certain Software and Services. When Client purchases Software and Services through a Business Partner, Red Hat confirms that it is responsible for providing the Software and Services to Client under the terms of this Agreement. Red Hat is not responsible for (a) the actions of Business Partners, (b) any additional obligations Business Partners have to Client, or (c) any products or services that Business Partners supply to Client under any separate agreements between a Business Partner and Client.
