Contacts and Statements. Contacts with the applicable governmental agency with respect to this Agreement shall be coordinated between Acura and Bayer. The Parties shall mutually agree to the responsible Party for initiating such contact. All public statements regarding Bayer trademarks will be the responsibility solely of Bayer. Where practical, all such statements will be provided to Acura for content review prior to release.

Patheon agrees to make no statement to the media, unless otherwise required by Laws and, in any such event, Patheon will collaborate with XenoPort on the content of any statement.

With respect to any Remedial Action in the Licensed Territory with respect to any Product, GSK shall make all contacts with the applicable Governmental Authority or Regulatory Authority and shall be responsible for coordinating all of the necessary activities in connection with any such Remedial Action, and GSK shall make all statements to the media, including press releases and interviews for publication or broadcast as provided in Section 11.4 of the License Agreement. GSK agrees to make no statement to the media referencing Impax or the Facility, unless otherwise required by Laws and, in any such event, GSK shall provide notice to and collaborate with Impax on the content of any such Impax reference. Impax agrees to make no statement to the media referencing GSK with respect to any Remedial Action in the Licensed Territory unless otherwise required by Laws and, in any such event, Impax shall collaborate with GSK on the content of any such statement.

With respect to any Recall, Withdrawal, field correction, field alert report or comparable report with respect to any Product(s), Banner shall consult with JDS and Banner shall make all contacts with the applicable Governmental Body and shall be responsible for coordinating all of the necessary activities in connection with any such Recall, Withdrawal, field correction, field alert report or comparable report. Banner and JDS shall meaningfully consult with each other with respect to statements to the media made by JDS and/or Banner, including press releases and interviews for publication or broadcast, but Banner as the NDA owner, acting reasonably and in good faith, shall have the right of final approval of such media statements.
