Content of minutes. Minutes shall include the following: (1) The date, time, and place of the meeting; (2) A list of participants and compa- xxxx represented; (3) A description of discussions de- tailed enough so that a non-participant reading the minutes could reasonably gain a clear understanding of the na- ture and extent of the discussions and, where applicable, any decisions reached. Such description need not dis- close the identity of the parties that participated in the discussion or the votes taken; and (4) Any report, circular, notice, sta- tistical compilation, analytical study, survey, or other work distributed, dis- cussed, or exchanged at the meeting, whether presented by oral, written, electronic, or other means. Where the aforementioned materials are reason- ably available to the public, a citation to the work or relevant part thereof is acceptable in lieu of the actual work. Any documents submitted to the Com- mission pursuant to this section need not disclose the identity of the party or parties that circulated the docu- ment at the meeting.

Content of minutes. The minutes of the Board of Directors or any committee of the Board for any meetings described above shall contain: (i) The names of the persons who disclosed an actual or potential conflict of interest or otherwise were found to have a conflict of interest; (ii) The nature of the conflict of interest; (iii) Any action taken to determine whether a conflict of interest was present; (iv) The Board’s or committee’s decision as to whether a conflict of interest in fact existed; (v) The names of the persons who were present for discussions and votes relating to the transaction or arrangement; (vi) The content of the discussion, including any alternatives to the proposed transaction or arrangement considered and any comparability data relied upon; and (vii) A record of any votes taken in connection with the issue, transaction or arrangement.

  • Agenda and Minutes a) Agendas of reasonable length detailing issues in a clear and concise fashion will be developed jointly between the co-chairs, translated into the French language and provided to committee members at least ten (10) working days prior to the scheduled date of the meeting. Agenda items should be of general concern to the parties as opposed to personal concerns of individual employees. It is not the mandate of the Committee to deal with matters that have been filed as central disputes.   • INSTRUCTIONAL MINUTES a) When CONTRACTOR is an NPS, the total number of instructional minutes per school day provided by CONTRACTOR shall be at least equivalent to the number of instructional minutes per school day provided to LEA students at like grade level, attending LEA schools, unless otherwise specified in the student’s IEP/IFSP, and shall be specified in the LEA student’s ISA developed in accordance with the LEA student’s IEP/IFSP. b) For NPS students in grades pre-kindergarten through 12, unless otherwise specified in the LEA student’s IEP/IFSP, the number of instructional minutes, excluding recess, lunch, and passing time, shall be at least the minimum as specified in Education Code Sections 46110-46147, and in no case will be less than the amount as specified in the IEP/IFSP. In addition, the total number of annual instructional minutes shall be at least equivalent to the total number of annual instructional minutes provided to LEA students attending LEA schools in like grade level unless otherwise specified in the LEA student’s IEP/IFSP. c) When CONTRACTOR is a NPA and/or related services provider, the total number of minutes per school day provided by CONTRACTOR shall be specified in the LEA student’s ISA developed in accordance with the LEA student’s IEP/IFSP.

  • Board Minutes A copy of the Board minutes shall be made available to the Association President or designee.
