Continuation and Term. The Company was formed upon the issuance by the Secretary of State of Delaware of a certified copy of the Certificate. Continuation and Term. The Partners agree that as of the date of this Agreement (i) the Persons listed in Exhibit 1 (other than the General Partner) are Limited Partners and (ii) the Fourth Amended and Restated Agreement of Limited Partnership dated October 28, 2009 (the “Prior Partnership Agreement”) that previously evidenced the Partnership is hereby amended and restated in its entirety, subject to the terms provided herein, and the Partnership is continued without interruption under and pursuant to the terms and provisions of the Act.
