Continued Vesting Upon Termination. Notwithstanding the foregoing, subject to Section 3.4, upon the occurrence of a Continued Vesting Termination Event, any then-unvested PSUs shall continue to remain eligible to vest pursuant to the terms of Section 3.1, and the other terms herein shall continue to be in effect. Continued Vesting Upon Termination. Notwithstanding any provision in the Plan to the contrary, if the Awardee voluntarily terminates Service on or after such time as the sum of the Awardee’s age and years of Service equals or exceeds 75 years and the Awardee has attained the minimum age of 60, the Option shall continue to vest in accordance with the vesting schedule set forth in Section 4(a) above. Notwithstanding the foregoing, if the Company receives an opinion of counsel that there has been a legal judgment and/or legal development in the Awardee’s jurisdiction that would likely result in the favorable treatment applicable to the Option pursuant to this Section 4(a) being deemed unlawful and/or discriminatory, then the Company will not apply the favorable treatment at the time of the Awardee’s termination of Service, and the Option shall be forfeited immediately upon Awardee’s termination of Service.
