Contract Files. The Servicer will, at its own cost and expense, maintain all Contract Files in accordance with its customary procedures. Without limiting the generality of the preceding sentence, the Servicer will not dispose of any documents constituting the Contract Files in any manner which is inconsistent with the performance of its obligations as the Servicer pursuant to this Agreement and will not dispose of any Contract except as contemplated by this Agreement.
Contract Files. As of the Closing Date (or as of the Substitution Transfer Date, with respect to Substitute Contracts), (i) immediately prior to such date, CFUSA (or the applicable Financing Originator as custodian for CFUSA, with respect to TCC Contracts) had possession of each original Contract and the related complete Contract File, and there were no other custodial agreements relating to the same in effect (other than offsite storage arrangements described in Section 4.01(b)); (ii) each of such documents which is required to be signed by the Obligor has been signed by the Obligor in the appropriate spaces; and (iii) the complete Contract File for each Contract is in the possession of the Servicer. If the Contract is "tangible chattel paper" as defined in the UCC, the End User Contract that constitutes or evidences the Contract does not have any marks or notations indicating that it has been pledged, assigned or otherwise conveyed to any other Person besides CFUSA (prior to its conveyance to the Depositor under the Non VFC Purchase Agreement), the VFC Trust (prior to its conveyance to the Depositor under the VFC Assignment) and the Depositor.

The Collateral Custodian will not dispose of any documents constituting the Contract Files in any manner which is inconsistent with the performance of its obligations as the Collateral Custodian pursuant to this Agreement and will not dispose of any Contract except as contemplated by this Agreement.
Contract Files. The Servicer will, at its own cost and expense, maintain all Contract files in its possession in trust for the Seller, the Managing Facility Agent and the Purchasers and in accordance with the Credit and Collection Policy and customary standards in the aircraft finance industry. Without limiting the generality of the preceding sentence, the Servicer will not dispose of any such items in any manner which is inconsistent with the performance of its obligations as the Servicer pursuant to this Agreement and will not dispose of any Contract except as contemplated by this Agreement.
Contract Files. The Contracts, evidence of filing of a UCC financing statement and other original documents related to the Contracts and any other documents required to be delivered by the Servicer to the Custodian pursuant to the Indenture.
Contract Files. The Seller does hereby deliver to the Custodian the original motor vehicle retail installment sale contracts and Receivables Files for each Receivable identified in the Receivable Schedule.
Contract Files. The related Contract File contains: --------------
(i) other than in the case of Contracts described in clause (ii) below, at least one original of each Pledged Contract (or if the Contract and promissory note are contained in separate documents, an original of the promissory note); except that this requirement shall not apply in the case of an original Contract which has been removed from the Contract File for the performance of collection services and other routine servicing requirements in accordance with Section 4.1(n), and
(ii) in the case of any Contracts relating to VOIs located in Developments in North Carolina or South Carolina, where two originals of a Pledged Contract have been executed, one such original Contract, and the original Contract not in the file contains the following legend (whether by stamp or otherwise) on the face thereof; "THIS COPY IS ONE OF TWO ORIGINALS, AND WAS EXECUTED SOLELY FOR RECORDATION, TO THE EXTENT THAT POSSESSION OF THIS CONTRACT IS REQUIRED TO TRANSFER OR PERFECT A TRANSFER OF ANY INTEREST IN OR TO THIS CONTRACT, POSSESSION OF THE OTHER ORIGINAL HEREOF IS REQUIRED", and
(iii) in the case of any Contracts in respect of which the related VOI has been deeded out to the relevant Obligor:
(A) a copy of the deed for the related VOI, and
(B) the original of any related recorded or unrecorded Mortgage (or a copy of such recorded Mortgage, if the original of the recorded Mortgage is unavailable) (other than in the case of any Contract with respect to which the relevant Mortgage and/or deed is outside the Contract File for purposes of recording such Mortgage in the relevant local real property recording office, but only to the extent that: (x) such Mortgage and copy of deed shall not have been outside of the relevant Contract File for such purposes for more than (1) 180 days from the relevant Contract Grant Date (in the case of Contracts relating to VOIs located in the State of Florida), and (2) 180 days from the date on which the related VOI is required to be deeded to an Obligor (in the case of Contracts relating to VOIs located in any Development in any other State), and (y) unless and to the extent waived by the Majority Holders in writing, the Servicer shall retain in its files (and provide copies of same to the Trustee or Noteholders upon request) certificates from FCI's applicable title agents in Florida to the effect that the Mortgage in question has been delivered for purposes of recordation to the appropriate local...
Contract Files. Transfer the Files to any Person other than the Servicer or its agent or permit the Files to be maintained at any location other than as set forth in the Sale Agreement, in fireproof facilities owned, leased or utilized by the Servicer as certified to the Collateral Agent and the Surety Provider.
