Contractual Compliance. Borrower will pay and discharge in all material respects, all of its indebtedness, trade bills, and obligations promptly and in accordance with their terms and/or the normal and customary trade terms unless it is contesting the same by appropriate proceedings. Borrower will substantially comply with the terms and conditions of any indentures, agreements, contracts or other instruments to which it is a party or which may affect its assets or properties, except if any such lack of compliance will not have a Material Adverse Effect.
Contractual Compliance. Pay and discharge all of the Company's indebtedness and obligations promptly and in accordance with their terms and substantially comply with the terms and conditions of any indentures, agreements, contracts or other instruments to which it is party or which may affect its assets or properties or enter into mutually satisfactory agreements with the other parties to such documents and instruments; provided, however, that nothing herein shall prevent the Company from withholding payment or otherwise failing to comply with any agreement, if its management determines it to be in the best interest of the Company to do so and if such action will not result in any material adverse effect on the Company.
Contractual Compliance. Upon OI’s notice of non-compliance with a condition(s) of the Contract, the TPA will have thirty (30) days to become compliant. OI may assess, starting on the thirty-first (31st) day, One Thousand Dollars ($1,000.00) per day for each day the TPA is not in compliance with the Contract.
Contractual Compliance. POLICY HealthConnect is responsible for reviewing all network and participating CCA contracts for compliance within the network.

Except as set forth in Schedule 5.22(i) of the Seller and Company Disclosure Schedules, (i) neither the Company, nor, with respect to Business, the Seller or any of its other direct or indirect Subsidiaries, have recognized on any Current Government Contracts any revenue in excess of the Governmental Authority’s current contractual obligation under such Current Government Contract; (ii) no money due to the Company, nor, with respect to Business, the Seller or any of its other direct or indirect Subsidiaries, pertaining to any Current Government Contract has been withheld or set off other than in accordance with the withholding provisions of any such Current Government Contract; and (iii) none of the Government Contract Bids or Current Government Contracts are currently the subject of bid or award protest proceedings, and no Person has notified the Company, nor, with respect to Business, the Seller or any of its other direct or indirect Subsidiaries, in writing that any Governmental Authority, distributor, original equipment manufacturer, or reseller under a Current Government Contract intends to seek the Company’s agreement to lower rates under any of the Government Contract Bids. Neither the Company, nor with respect to the Business, the Seller, or any of its other direct or indirect Subsidiaries, is performing at-risk under a Government Contract or for a prospective Government Contract; for the avoidance of doubt, “performing at-risk” means incurring direct costs at the risk of the Company prior to (or in anticipation of), and without obligation of, funding under a Government Contract. Within the past three (3) years, neither the Company nor, with respect to the Business, the Seller or any of its other direct or indirect Subsidiaries has violated any statutory, regulatory, or contractual restrictions on subcontracting, including FAR 52.215-22 and FAR 52.215-23. 57
Contractual Compliance. Comply with the terms and conditions of any indentures, agreements, contracts or other instruments to which it is a party and\or which may have a Material Adverse Effect on its ability to make payment under this Agreement.
Contractual Compliance. The Company is not in violation of any term of any contract or covenant relating to employment, licensing, patents, proprietary information disclosure, non-competition, or non-solicitation.
Contractual Compliance. Provider will oversee compliance of the Facilities with all of the following contractual obligations of the Owner relating to the Facilities: purchase orders of all third-party vendors, equipment leases, permits, fuel agreements, ash agreements, Off-Take Agreements, agreements for maintenance services, agreements for consumables of the Plants, and any other such agreements relating to the operation and maintenance of the Facilities, in all cases to the extent provided to Provider by Owner.
Contractual Compliance. Comply with the material terms and conditions of any agreements, contracts, indentures or other instruments to which it is party or by which it is bound, unless non-performance is authorized or legally justified, and do all things reasonably necessary to preserve and to keep unimpaired its rights under such instruments.
