Program Office. 3.1 ESTABLISHMENT AND TERM OF PROGRAM OFFICE TRW will, at WI's request, establish a Program Office to continue development of Spitfire products. This office will exist so long as WI deems the office to be useful, but in no event longer than eighteen months unless otherwise agreed by the parties.
Program Office. (a) The CPA Account Manager will organize and manage a Program Office composed of the CPA Account Manager, each party's Program Manager, and such other persons as the CPA Account Manager and the parties' Program Managers from time to time agree are appropriate. During the first year of the term of this Agreement, the Program Office will be staffed by full-time personnel serving in the roles of CPA Account Manager, Cambridge Program Manager, PSC Program Manager, Technical Architect, and Vendor Manager, and additional part-time or full-time personnel as the CPA Account Manager and the parties' Program Managers agree are appropriate. During the second and subsequent years of the term of this Agreement, the Program Office will be staffed by full-time personnel serving in the role of CPA Account Manager, part-time personnel serving in the roles of Cambridge Program Manager, PSC Program Manager, Technical Architect and Vendor Manager as set forth in the staffing plan included as part of Schedules 6.1 and 6.2, and such other part-time or full-time personnel as the CPA Account Manager and the parties' Program Managers agree are appropriate. (b) The Cambridge Program Manager, in addition to the obligations set forth in Section 1.2, will manage the Cambridge Services, including but not limited to Cambridge Technology's application development services, and coordinate the performance of the Cambridge Services with the PSC Program Manager. The project managers for each application development project will report to the Cambridge Program Manager, who will manage resources, planning, and issues relating to such project. The Cambridge Program Manager will be assigned as Key Staff until the Implementation of all the Cambridge Applications. (c) The PSC Program Manager (who may also be the CPA Account Manager), in addition to the obligations set forth in Section 1.2, will manage the PSC Services (other than the PSC Program Services, which will be managed by the CPA Account Manager) and coordinate with the Cambridge Program Manager. (d) The Technical Architect will (i) coordinate Client's, Cambridge Technology's, and Xxxxx Systems' technical efforts across application development projects and operations, (ii) be responsible for the technical architecture of the Client Systems, (iii) within 90 days after the Effective Date, establish and submit for Client's approval, and thereafter maintain technology standards for the Client Systems, (iv) perform mutually acceptable technica...
Program Office. The Program Office is the main point of contact for Parties in respect of the LEIFS Initiative. All communications (including provision of Reports) between Parties in relation to the LEIFS Initiative are intended to be facilitated through the PO Partner, as follows: (a) each Partner must direct communications for the Management Committee or GRDC to the PO Partner, which will receive (and, if appropriate, consolidate and/or review) and forward them accordingly; (b) the Management Committee will direct communications for Partners or GRDC to the PO Partner, which will receive and forward them accordingly; (c) GRDC will direct communications for the Management Committee or Partners to the PO Partner, which will receive and forward them accordingly, however GRDC reserves the right to communicate directly with Partners; and (d) any communications between Partners (other than communications between Delivery Partners on a LEIFS Project) must be copied to the PO Partner which will forward them to the Management Committee and/or GRDC as appropriate.

Program Office. (i) On the Cutover Date, GE Capital shall establish an office to support the development and coordination of the Program (the “Program Office”), which shall be co-located at the NFC facilities located at 000 X. Xxxxxxxxxx Xxxx, Xxxxxxxxxx, XX 00000 (the “Current Navistar Facility”). Navistar shall use commercially reasonable efforts to allow GE Capital to occupy and use space sufficient and appropriate for a Program Office at the Current Navistar Facility. Subject to the provision of such opportunity, GE Capital shall enter into an occupancy and use agreement relating thereto containing terms mutually acceptable to Navistar and GE Capital. (ii) Subject to Section 1(a)(ii), and as otherwise agreed to in writing between Navistar and GE Capital, beginning on the Cutover Date and during the remainder of the Term, substantially all of the individuals reasonably required to conduct the Program as conducted from time to time during the Term and that are performing functions in connection with the Program substantially similar to the functions performed by the Rebadged Employees immediately prior to the date of this Agreement, including any Rebadged Employees employed by GE Capital, shall be located at the Program Office. Notwithstanding the foregoing, in the event NFC shall relocate its operations to another facility, campus or location located in the greater Chicago area (such facility, campus or location, the “New Navistar Facility”), (A) Navistar shall use commercially reasonable efforts to provide space within the New Navistar Facility reasonably sufficient to house the Program Office and (B) to the extent that Navistar is able to provide space within the New Navistar Facility reasonably sufficient and appropriate to house the Program Office and reasonably equivalent to the economic terms of the occupancy and use agreement in place at the Program Office subject to normal market adjustments, GE Capital shall (x) at Navistar’s sole cost and expense (including any costs and expenses related to the termination of the current lease and the costs related to the build out of the Program Office) relocate the Program Office to such New Navistar Facility to be co-located with Navistar and (y) enter into a lease or occupancy and use agreement (as applicable) relating to such space within the New Navistar Facility, the terms of which shall not require GE Capital to bear related costs and expenses in connection therewith in excess of those borne by GE Capital at the Curre...
