Cooperation and Noninterference. Upon the occurrence and during the continuance of any Event of Default, no Borrower shall take any action of any kind or nature whatsoever, directly or indirectly, to delay, oppose, impede, obstruct, hinder, enjoin, or otherwise interfere with, and Borrowers will cooperate and comply with, the exercise by Lender of any and all of Lender’s rights and remedies against Borrowers, Guarantor and/or the Property, the IP and any other collateral for the Loan, this Agreement or the other Loan Documents, including the rights and remedies of Lender set forth in this Article XVI.
Cooperation and Noninterference. Homeowner grants full access to the Property to the GLO and its authorized designees including, but not limited to, Contractor, Contractor’s workforce and subcontractors, the GDR, the subrecipient, if any, and any authorized inspectors, employed by the GLO or other governmental entity with appropriate legal authority, as may be required to make inspections and to complete the Project. Homeowner agrees to cooperate with all parties identified above and their designees and to not unreasonably interfere with the Work on the Project or inspections of the Property. In the event that Homeowner unreasonably interferes with the Work or an inspection in any manner, Contractor shall deliver a written notice to Homeowner and the GDR, ordering Homeowner to cease any activity causing the interference. If Homeowner does not cease the activities specified in the notice within three (3) calendar days, Homeowner may be prohibited from participating in the Program and may be required to reimburse GLO for all Work performed on the Property by Contractor. Homeowner agrees to cooperate with Contractor to ensure that all utilities, including water, sewer, and electrical service, are available for use by Contractor and supplied to the Property for the duration of the Project.

Upon the expiration of the Forbearance Period, neither Seller nor Guarantor shall take any action of any kind or nature whatsoever, directly or indirectly, to delay, oppose, impede, obstruct, hinder, enjoin, otherwise interfere with, and Seller and Guarantor will cooperate and comply with, the exercise by Purchaser of any and all of Purchaser’s rights and remedies against Seller, Guarantor and/or the Purchased Assets, or any other rights or remedies of Purchaser with respect to the Repurchase Agreement, the other Transaction Documents, or this Amendment.
Cooperation and Noninterference. In consideration for the City entering into this Agreement, Xxxxxxxxx agrees not to challenge, or to participate in any manner to any challenge, to the City's impact fees that relate to the Project, and shall cooperate with the City in the collection of all impact fees required by the applicable ordinances, provided that City does not adopt any future impact fees that designate only the Project as a "service area" pursuant to Utah Code Xxx. 11-36a- 102 (20), as amended, or otherwise disproportionately imposes a higher impact fee on the Project than other similar developments.

IP TRUST agrees that it will not interfere with and will use all reasonable efforts to aid ECOX in marketing, distributing and selling the Product, including all modifications and improvements made thereto, and any other or similar product which it may develop, create, or invent, which falls within the terms of this Agreement.
