COOPERATION OF CONSULTANT. Consultant shall cooperate with the Company and provide any information or documents reasonably needed by the Company to prepare and file the Registration Statement. Consultant shall not participate in the preparation of the Registration Statement or otherwise have any responsibility for any costs or liabilities incurred by the Company in connection with the preparation and filing of the Registration Statement or compliance with any state or federal securities laws, rules, or regulations thereunder. All costs and expenses incurred in connection with the preparation and filing of the Registration Statement are the sole responsibility of the Company.

The Consultant shall not be required to devote his full time and attention to the performance of his duties under this Agreement, but shall devote only so much of his time and attention as it deems reasonable or necessary for such purposes.

  • Termination of Consulting Agreement As of the Effective Date, the Consulting Agreement is hereby terminated and is of no further force or effect.

  • Duties of Consultant The Consultant agrees that it will generally provide the following specified consulting services through its officers and employees during the term specified in Section 1, above.

  • Appointment of Consultant The Corporation appoints the Consultant and the Consultant accepts appointment on the terms and conditions provided in this Agreement as a consultant to the Corporation's business, including any other corporations hereafter formed or acquired by the Corporation to engage in any business.

  • Termination of Consulting Period Notwithstanding any other provision hereof, the Consulting Period and Consultant’s services as a consultant hereunder shall terminate, and, except as otherwise specifically provided herein, this Agreement shall terminate:
