Cooperation of Licensee. Licensee will on request give to Licensor or its authorized representative any information as to its use of the Trademarks which Licensor may require and will during the term of this Agreement render any assistance reasonably required by Licensor in registering and maintaining the registrations of the Trademarks.
Cooperation of Licensee. Licensee agrees to notify Licensor promptly following the discovery of any Error. Further, upon discovery of an Error, Licensee agrees, if requested by Licensor, to submit to Licensor a listing of output and any other data that Licensor may require in order to reproduce the Error and the operating conditions under which the Error occurred or was discovered. Licensor shall treat any such data as confidential.
Cooperation of Licensee. As a condition to Licensor's obligations under paragraphs 9B and 9C above, Licensee shall: (1) install, in accordance with Licensor's instruction, all Program updates and corrections Licensee receives from Licensor under this Agreement; (2) perform such procedures as may be described in the Documentation for the identification and resolution of problems; and (3) provide Licensor with sufficient information and assistance for Licensor to duplicate problems reported by Licensee, to determine that the problem is with the Software Product, and to determine that the problem has been corrected.
Cooperation of Licensee. In the event a Licensee on Maintenance requests the assistance of QAD. a Licensee shall at the request of QAD, provide to QAD reasonable debugging information (such as memory dumps, screen prints and reproduction steps) and shall cooperate in investigating errors including allowing access to the Software during normal business hours for test and debugging purposes. A Licensee shall render all reasonable assistance to duplicate an error, certify that the error is directly related to the Software, and verify that the error has been corrected. A Licensee shall acquire and maintain any products reasonably recommended by QAD that will enable QAD to provide remote assistance (such as dial-in and diagnostic software). In the event QAD provides on site assistance, Licensee shall pay QAD at the daily rate in effect at the time of the assistance plus reasonable travel and living expenses.
Cooperation of Licensee. Licensee shall fully cooperate with TELEHOUSE in connection with TELEHOUSE's performance of the Services. Licensee shall, with reasonable promptness, provide all information reasonably required by TELEHOUSE for its performance of the services, and shall make designated representatives available for regular consultation at such times and places as TELEHOUSE shall reasonably request.
Cooperation of Licensee. Licensee shall fully cooperate with S&DFC in connection with S&DFC's performance of the Services. Licensee shall, with reasonable promptness, provide all information reasonably required by S&DFC for its performance of the services, and shall make designated representatives available for regular consultation at such times and places as S&DFC shall reasonably request.
Cooperation of Licensee. Licensees shall fully cooperate with S&DFS2 in connection with S&DFS2's performance of the Services. Licensees shall, with reasonable promptness, provide all information reasonably required by S&DFS2 for its performance of the services, and shall make designated representatives available for regular consultation at such times and places as S&DFS2 shall reasonably request.
Cooperation of Licensee. Licensee shall keep Licensor informed as to any problems encountered with the Licensed Products.
Cooperation of Licensee. Licensee shall keep Licensor informed as ------------------------ to any problems encountered with the Licensed Technology and any resolutions arrived at for those problems, and to communicate promptly to Licensor any and all modifications, design changes or improvements of the Licensed Technology suggested by any customer, employee, or agent.
Cooperation of Licensee. Licensee will provide, or cause its employees, agents, or other service providers to provide, in a timely and accurate manner and format, all data, documents, and other information necessary or appropriate for Eagle to provide the services specified in this Agreement. Eagle will have no obligation to test or otherwise verify the accuracy or completeness of any such data, documents, or other information provided by Licensee and Eagle will not be responsible for any errors or omissions contained therein. Notwithstanding any other provision of this Agreement, Eagle shall be fully protected in relying upon the accuracy and/or veracity of all information supplied by Licensee and shall have no responsibility or liability for any errors, delays, or additional costs resulting from the receipt of incomplete, inaccurate or untimely information or data or information or data provided in an unacceptable manner, format or media from Licensee.
