Corporate Acquisition. (i) On Feb- ruary 1, 2005, R corporation decides to inves- tigate the acquisition of three potential tar- gets: T corporation, U corporation, and V corporation. R’s consideration of T, U, and V represents the consideration of three distinct transactions, any or all of which R might consummate and has the financial ability to consummate. On March 1, 2005, R enters into an exclusivity agreement with T and stops pursuing U and V. On July 1, 2005, R acquires all of the stock of T in a transaction de- scribed in section 368. R pays $1,000,000 to an investment banker and $50,000 to its outside counsel to conduct due diligence on T, U, and V; determine the value of T, U, and V; nego- tiate and structure the transaction with T; draft the merger agreement; secure share- holder approval; prepare SEC filings; and ob- tain the necessary regulatory approvals.

Corporate Acquisition. 10.1. At any time from and after five (5) years and nine (9) months from the date hereof, and subject to the Owner's prior rights pursuant to Section 10.2, the Owner shall have the right to cause the Manager to acquire all but not less than all, of the stock or assets of the Owner for the Agreed Purchase Price as defined below (such reorganization shall be referred to as an "Owner Reorganization"), and the Manager shall have the right to acquire all, but not less than all, of the stock or assets of the Owner for the Agreed Purchase Price (such reorganization being referred to as a "Manager Reorganization") (collectively, an Owner Reorganization and a Manager Reorganization are referred to as a "Reorganization"), on the terms and subject to the conditions set forth in this Section 10.
Corporate Acquisition. The Company intends that during 2006 it will acquire, by merger or share exchange, an operating company (a "Corporate Acquisition"). The Certificate of Designation of the Series C Stock provides that no Corporate Acquisition may be completed unless approved by the holders of the majority of the outstanding shares of Series C Stock. The Managers (for the benefit of the holder of the Series B Preferred Stock) agree that the Managers shall consent to any Corporate Acquisition in which (a) the acquired company had not less than $2.5 million in revenue and not less than $700,000 in net pre-tax income in the year ended September 30, 2005, (b) the shareholders of the Company on this date and the holders of the Series C Preferred Stock will, on closing of the acquisition, own not less than five percent of the equity in the Company, and (c) there are no other material terms of the Corporate Acquisition that are objectionable to the Managers.
Corporate Acquisition. Tenant has advised Landlord that Tenant’s shareholders have entered into a Stock Purchase Agreement wherein General Indemnity Group, LLC will purchase all of the outstanding capital stock of Tenant (the “Transaction”). Landlord agrees to waive the Landlord termination right contained in Section 11.4 with respect to the Transaction only. Tenant represents and warrants that its execution of this Second Amendment is not in violation of any of the terms of the Stock Purchase Agreement and acknowledges that the Lease, and this Second Amendment, shall remain in full force and effect following the closing of the Transaction.

The Acquisition, including all of the terms and conditions thereof and including, without limitation, the Merger, shall have been duly approved by the board of directors and (if required by applicable law) the shareholders of each of the Borrower (prior to the consummation of the Merger), the Target and each other Group Company party thereto, and all Acquisition Documents shall have been duly executed and delivered by the parties thereto and shall be in full force and effect. The representations and warranties set forth in the Acquisition Documents shall be true and correct in all material respects as if made on and as of the Closing Date (except to the extent such representations and warranties expressly refer to a prior date, in which case such representations and warranties shall have been true and correct as of such prior date), and each of the parties to the Acquisition Documents shall have complied in all material respects with all covenants set forth in the Acquisition Documents to be complied with by it on or prior to the Closing Date (without giving effect to any modification, amendment, supplement or waiver of any of the material terms thereof unless consented to by the Lead Arrangers, which consent shall not be unreasonably withheld or delayed). Each of the material conditions precedent to the Group Companies’ obligations to consummate the Acquisition as set forth in the Acquisition Documents shall have been satisfied to the reasonable satisfaction of the Lead Arrangers or waived with the consent of the Lead Arrangers, and, on or prior to the Closing Date and prior to the borrowing of the initial Loans, the Acquisition shall have been consummated for aggregate consideration not in excess of $510,000,000 (excluding purchase price adjustments) (excluding related transaction fees and expenses not exceeding $20,000,000) in accordance with all applicable laws and the Acquisition Documents (without giving effect to any material amendment or modification thereof or material waiver with respect thereto including, but not limited to, any material modification, amendment, supplement or waiver relating to any disclosure schedule or exhibit, unless such modification, amendment, supplement or waiver could not reasonably be expected to be materially adverse in any respect to the Lenders or unless consented to by the Lead Arrangers). On the Closing Date, the certificate of merger with respect to the Merger shall have been filed with the appropriate Governmental Authority having primary jurisdiction over affairs of corporations in Delaware.
