Corporation’s Certificate. A certificate of the Corporation dated the date of the Closing, signed by its Chief Executive Officer, Chief Financial Officer or another executive officer of the Corporation, on behalf of the Corporation, in form and substance reasonably satisfactory to the City, the Purchaser and to Bond Counsel, including to the effect that (i) since December 31, 2012, no material adverse change has occurred in the financial position of the Corporation or results of operations of the Corporation except as disclosed in writing to the Purchaser, (ii) the Corporation has not, since December 31, 2012, incurred any material liabilities other than as disclosed in writing to the Purchaser and the audited financial statements and any available unaudited financial statements of the Corporation furnished to the Purchaser present fairly and accurately the financial position of the Corporation as of the dates thereof and the results of its operations for the periods therein described, (iii) no litigation, proceeding or investigation is pending against the Corporation or, to its knowledge, threatened which would (A) contest, affect, restrain or enjoin the issuance, validity, execution, delivery or performance of the Transaction Documents, (B) in any way contest the corporate existence or powers of the Corporation, or (C) in any way adversely affect the federal or State tax-exempt status of the interest on the Bonds or the amounts to be received by the City pursuant to the Lease Agreement, (iv) no litigation, proceeding or investigation is pending or, to the knowledge of the Corporation, threatened against the Corporation other than such litigation, proceedings or investigations that have been disclosed to the Purchaser and the probable outcome of which would not have a material adverse effect on the Corporation’s financial condition or results of operations, (v) the representations and warranties of the Corporation herein and in the Transaction Documents were and are true and correct in all respects and not misleading as of the date made and as of the date of the Closing,

  • Physician's Certificate When a female employee applies for pregnancy leave she must provide her supervisor with a certificate from her physician stating that she is pregnant and giving the estimated date of delivery at least two weeks prior to the date she plans to commence the leave. In the case of a female employee who stops working prior to the commencement of her scheduled leave because of a birth, still-birth or miscarriage that happens earlier than the employee was expected to give birth, that employee must, within two weeks of stopping work, give her supervisor:

  • Certificate of Limited Partnership The General Partner has caused the Certificate of Limited Partnership to be filed with the Secretary of State of the State of Delaware as required by the Delaware Act.
