As a courtesy, LBCWD shall provide notice to SCWD that it does not intend to participate in the Project in Phase 2, such notice to be delivered to SCWD not later than sixty (60) days (or such longer period agreed to by SCWD and LBCWD) following written notice from SCWD to LBCWD of the Phase 2 Key Terms and Conditions. The failure of LBCWD to provide such courtesy notice shall not constitute a default by LBCWD hereunder or obligate LBCWD to participate in the Project in Phase 2. To facilitate timely notice of the Phase 2 Key Terms and Conditions, SCWD shall initiate negotiations with LBCWD on the Phase 2 Key Terms and Conditions (other than the final Service Fee and the final GMP) and provide drafts of LBCWD’s draft Phase 2 Documentation within ninety (90) days of the Effective Date, with the intention that all of the Phase 2 Key Terms and Conditions (other than the final Service Fee and the final GMP) will be fully negotiated and agreed upon prior to the determination of the final Service Fee and the final GMP. SCWD shall provide LBCWD written notice of the final Service Fee and the final GMP as soon as reasonably practicable.
