Covenant of Non-Disclosure. Without the prior written approval of COMPANY, EXECUTIVE shall keep confidential and not disclose or otherwise make use of any of the confidential or proprietary information or trade secrets referred to in Section 7 nor reveal the same to any third party whomsoever, except as required by law.

Individual agrees that Individual will retain all Confidential Information in confidence; not disclose any Confidential Information to any third party without Company’s permission; not use any Confidential Information for any purpose other than performing Individual’s duties as a Company employee on behalf of Company; use Individual’s best efforts to limit access to Confidential Information to those who have a need to know the information for the business purposes of Company; return all tangible objects and copies thereof containing Confidential Information to Company upon request by the Company or Company; and upon termination of the Individual’s relationship with the Company or upon termination of the relationship between the Company and Company, not duplicate any Confidential Information without prior approval from the Company; and honor Individual’s promises under this Agreement both during and after the employment relationship. Notwithstanding the provisions of this Paragraph, Individual shall not be deemed in violation of this Paragraph for disclosing Confidential Information pursuant to a subpoena or court order, provided that Individual provides Company with reasonable prior notice of such subpoena or court order so that Company may challenge such subpoena or court order.

Without the prior written approval of MIKOHN, Employee shall keep confidential and not disclose or otherwise make use of any of the confidential or proprietary information or trade secrets referred to in Section 7 nor reveal the same to any third party whomsoever, except as required by law.

Without the prior written approval of MIKOHN, XXXXXX shall keep confidential and not disclose or otherwise make use of any of the confidential or proprietary information or trade secrets referred to in this Agreement nor reveal the same to any third party whomsoever, except as required by law. Nor shall XXXXXX discuss any item related to the financial condition of MIKOHN with any third party, at any time without MIKOHN’s express written consent.
Covenant of Non-Disclosure. 10.4.1. The Employee shall not, without the prior written consent of the Company, during the Term of the employment of the Employee with the Company and thereafter disclose or disseminate the Confidential Information, or any part thereof, nor permit any person to have access to such information, nor use such information in any manner whatsoever other than as set forth herein.
10.4.2. The Employee agrees that Employee will not copy, transmit, reproduce, summarize, quote or make any commercial or other use whatsoever of any Confidential Information, except as may be necessary for the performance of the Employee’s duties for the Company.
10.4.3. Confidential Information may be used, disclosed, reproduced, summarized or distributed only in pursuance of this Employment Agreement entered into by the Parties and only as otherwise provided in this Agreement. The Employee shall not reverse engineer, decompile or disassemble any software disclosed to him or her by the Company.
10.4.4. The Employee agrees to exercise the highest degree of care and take reasonable security precautions at least as great as the precautions it takes to protect its own Confidential Information in keeping the Confidential Information confidential and safeguarding Confidential Information against loss, theft, or other inadvertent disclosure, and agrees generally to take all steps necessary to ensure the maintenance of confidentiality.
10.4.5. Employee may disclose Confidential Information to other employees or consultants of the Company as is required only in order to enable the performance of duties under the Employment Agreement
10.4.6. The obligations of confidentiality as set out herein shall not apply to any Confidential Information now or hereafter voluntarily disseminated to the public by the rightful owner thereof, or which otherwise becomes part of the public domains through lawful means.
Covenant of Non-Disclosure. With respect to any Confidential Information received by Employee, until such time, if any, as such Confidential Information becomes generally known to the public (other than as a result of disclosure by Employee), Employee shall:
(i) Not use such Confidential Information for his own purposes other than in connection with his regular activities for or on behalf of the Company, and shall refrain from using, disclosing, disseminating or publishing to or with any person, firm, company or entity, or making available to any others for any use other than for or on behalf of the Company, such Confidential Information, directly or indirectly, during his employment or after termination thereof; and
(ii) Restrict disclosure of such Confidential Information only to others as may reasonably be necessary in the conduct of the Company's business; and
(iii) Advise all such persons of the strict obligations of confidentiality hereunder; and
(iv) Take such steps to protect the confidentiality of Confidential Information as are necessary to keep it confidential. Provided, however, that Employee shall not be precluded from utilizing or disclosing any information regarding the Company which (i) is generally available to the public; (ii) is lawfully obtained by the Employee from a source other than the Company; (iii) is required to be disclosed by or in any judicial or administrative process, proceeding or investigation or by applicable law; or (iv) is generally known in the industry in which the Company conducts its business.

Executive agrees that during the term of this Agreement or thereafter, Executive will neither disclose any confidential information as to the Company nor at any time remove for purposes other than the conduct of Company business or retain without the Company’s express consent any figures, calculations, letters, papers or other confidential information of any type or description. Executive also warrants and covenants not to disclose, to reveal, to divulge or to make known to any person, firm, corporation or entity or use for any purpose outside Company’s business, Company’s clientele lists, contents of any process, data, consulting information, methods, office procedures, filing systems, computer software systems, subsystems, routines and subroutines, proprietary rights, work product developed for or on behalf of the Company (except information within the public domain) or any information regarding any trade secrets or confidential information reposed in him by the Company or any information regarding the transactions of the Company with its clients or the state of the accounts of the individuals, firms, corporation, or others with whom the Company does business, without the prior written permission of the Company. Anything in this Section to the contrary notwithstanding, Executive may use or disclose those portions of the confidential information which: (1) are or become part of the public domain (other than as a result of a breach by Executive); (2) were known to Executive or obtained by Executive from a third party; or (3) Executive is ordered by a court to produce; provided Executive promptly notifies the Company of receipt of any order or motion to require the production of any portion of the confidential information.
Covenant of Non-Disclosure. The Employee acknowledges that, -------------------------- because of his employment hereunder, he will be in a confidential relationship with the Employer and will have access to confidential information and trade secrets of Employer concerning the Business. The parties recognize and acknowledge that the Business is very sophisticated and technical, and that Employer has developed, and over the course of time, will develop, substantial goodwill, valuable relationships with customers, trade secrets and particular means or methods of conducting the Business, all of which are worthy of protection. Employee recognizes and acknowledges that during the term of his employment with the Employer he may acquire knowledge of valuable trade secrets, confidential matters, and proprietary information concerning the Business and its existing and potential customers (collectively, the "Confidential Information"). Such Confidential Information includes, without limitation, lists of the Employer's customers and potential customers, lists of the Employer's suppliers and potential suppliers, lists of the Employer's agents and potential agents, information contained within the Employer's books and records, the methods of operating the Business, information concerning the telecommunications industry as same relates to the Employer, the names of other business contacts of the Employer, the Employer's pricing practices and information concerning prices at which the Employer purchases supplies and services. The Employee hereby agrees to maintain the confidentiality of all Confidential Information to which Employee is exposed while employed by the Employer and at all times thereafter, and agrees that he will not, directly or indirectly, at any time (a) disclose such Confidential Information to any natural or legal person (collectively, "Persons"), other than authorized employees or agents of the Employer, for any reason or purpose whatsoever, or (b) under any circumstances make use of any Confidential Information for his own purposes or for the benefit of any Person other than the Employer or its affiliates. To this effect, Employee agrees that none of the Employer's written Confidential Information, including, but not limited to any printed material, material in process and customer lists or records, may be copied or removed from the Employer's premises by Employee or any other Person at the direction of or with the permission of Employee, unless authorized by the Chief Executive...
