If you indicate that the account is held in U.S. dollars, your funds transfer must be made in U.S. dollars. If you indicate that the account is held in the local currency of the country where the account is maintained, Citibank will send the funds transfer in that local foreign currency unless the transfer in foreign currency is prohibited by local restrictions of the destination country. If you indicate that you do not know the currency in which the beneficiary account is held, you can choose to send the funds transfer in U.S. dollars or in the local currency of the country where the beneficiary account is held. You understand that Citibank has the right to rely on your statement as to the currency of the beneficiary account and that it will not be responsible for any error in the information it provides me concerning the applicable exchange rate and the amount of funds to be received by the beneficiary should your statement be incorrect and a currency conversion occurs after Citibank sends your funds transfer request. When initiating funds transfers in a foreign currency, information regarding the applicable exchange rate will be provided to you at the time you initiate the transfer. For all funds transfers in a foreign currency, Citibank will convert your U.S. dollar payment to the local currency at Citibank’s exchange rate in effect at that time for similar transactions. The exchange rate is based on the foreign currency selected and the amount at the time your instruction is setup. This rate is an indication of the rate that will be applied to the wire transfer when sent for processing. Rates are refreshed at regular intervals and may change based on the prevailing rate applicable upon release and processing of the wire transfer. The exchange rate includes a commission to Citibank for exchanging the currency and is inclusive of any spread (or markup) above the price at which Citi may be able to transact, or has transacted, the foreign exchange conversion, purchase or sale with other counterparties, as such markup is determined by Citi taking into account its costs, its risks, its inventory strategy, its overall risk management strategies, and...

If such Lender or the Borrower, as the case may be, has not in fact made such payment to Administrative Agent, the recipient of such payment shall, promptly after demand by Administrative Agent, repay to Administrative Agent the amount so made available together with interest thereon in respect of each day during the period commencing on the date such amount was so made available by Administrative Agent until the date Administrative Agent recovers such amount at a rate per annum equal to (i) in the case of payment by a Lender, the Federal Funds Effective Rate (as determined by Administrative Agent) or (ii) in the case of payment by the Borrower, the interest rate applicable to Adjusted Base Rate Borrowings. If the Borrower and any Lender shall each pay any such amount made available by the Administrative Agent on behalf of such Lender for the same or overlapping period, the Administrative Agent shall promptly remit to the Borrower the amount paid by the Borrower for such period. Any payment by the Borrower shall be without prejudice to any claim the Borrower may have against a Lender that shall have failed to make available the proceeds of a Loan to be made by such Lender.

  • DEPOSIT OF FUND ASSETS WITH THE UNDERLYING TRANSFER AGENT Underlying Shares beneficially owned by the Fund, on behalf of a Portfolio, shall be deposited and/or maintained in an account or accounts maintained with an Underlying Transfer Agent and the Custodian’s only responsibilities with respect thereto shall be limited to the following: 1) Upon receipt of a confirmation or statement from an Underlying Transfer Agent that such Underlying Transfer Agent is holding or maintaining Underlying Shares in the name of the Custodian (or a nominee of the Custodian) for the benefit of a Portfolio, the Custodian shall identify by book-entry that such Underlying Shares are being held by it as custodian for the benefit of such Portfolio. 2) In respect of the purchase of Underlying Shares for the account of a Portfolio, upon receipt of Proper Instructions, the Custodian shall pay out monies of such Portfolio as so directed, and record such payment from the account of such Portfolio on the Custodian’s books and records. 3) In respect of the sale or redemption of Underlying Shares for the account of a Portfolio, upon receipt of Proper Instructions, the Custodian shall transfer such Underlying Shares as so directed, record such transfer from the account of such Portfolio on the Custodian’s books and records and, upon the Custodian’s receipt of the proceeds therefor, record such payment for the account of such Portfolio on the Custodian’s books and records. The Custodian shall not be liable to the Fund for any loss or damage to the Fund or any Portfolio resulting from the maintenance of Underlying Shares with an Underlying Transfer Agent except for losses resulting directly from the fraud, negligence or willful misconduct of the Custodian or any of its agents or of any of its or their employees.
