Custodial Delivery. On or before each Purchase Date, the respective Seller shall deliver or cause to be delivered to Buyer or its designee the Custodial Delivery in the form of Exhibit 7-1 and Exhibit 7-2 of the Custodial Agreement. With respect to each Table Funded Mortgage Loan, BAC shall cause the Settlement Agent or Designated Fax Distributor to deliver to the Custodian by facsimile the Initial Table Funded Loan Documents. A Designated Fax Distributor acts as fiduciary on behalf of Buyer in performing its responsibilities hereunder.
Custodial Delivery. Borrower and/or Lender shall have delivered to Custodian (or a bailee pursuant to a bailee agreement), in accordance with the Custodial Agreement, the Custodial Delivery and the Underlying Loan File with respect to the Underlying Loan.
Custodial Delivery. Within the timeframe required by the Custodial Agreement for such Eligible Asset, Seller shall have delivered to Custodian, in accordance with the Custodial Agreement, the Custodial Delivery and the Purchased Asset File with respect to each Eligible Asset.
Custodial Delivery. It shall deliver to Custodian via the Setpoint Technologies Platform, as soon as possible but no later than seven (7) days after each Funding Date, (i) the Eligible Property Legal Documents relating to each Eligible Property that was financed on such Funding Date and (ii) a schedule identifying for each such Eligible Property the related Eligible Property Legal Documents being delivered and identifying, as applicable, for each Eligible Property Legal Document, the Data Fields. It shall promptly deliver or cause to be delivered, or do such other acts as may be reasonably required by Administrative Agent and/or Lender, to cure any and all exceptions to the Eligible Property Legal Documents that are identified by the Custodian.
Custodial Delivery. The Employer will approve vacation at times least disruptive to the Employer. The employee’s vacation time may only be used during periods of non-scheduled instructional time.
Custodial Delivery. The letter executed by the Seller in order to ------------------- deliver the Mortgage Files to the Custodian pursuant to this Agreement prior to the related Purchase Date, a form of which is attached as Exhibit II to the Master Repurchase Agreement. Custodian: Bankers Trust Company of California, N.A., or any --------- successor in interest or assigns, or any successor to the Custodian under this Agreement as herein provided.
Custodial Delivery. Trust Receipt; Asset Schedule and Exception Report. Seller shall have delivered to Custodian in accordance with the Custodial Agreement (or a bailee pursuant to a Bailee Agreement), the Custodial Delivery and the Purchased Asset File with respect to each Eligible Asset and, if the Custodial Delivery and Purchased Asset File with respect to such Eligible Asset was delivered to Custodian as a Non-Table Funded Asset (as defined in the Custodial Agreement), (A) Custodian shall have issued to Buyer a Trust Receipt and a final Asset Schedule and Exception Report and (B) Buyer shall have, in its sole and absolute discretion, approved any and all exceptions listed on such Asset Schedule and Exception Report.
