Customer and Sales Reporting. Distributor shall, at its own expense and consistent with the sales policies of Micrus:
5.3.1 place the Product in Distributor’s catalogues as soon as possible and feature the Product in any applicable trade show within the Territory that it attends;
5.3.2 provide adequate contact with existing and potential customers within the Territory on a regular basis, consistent with good business practice;
5.3.3 assist Micrus in assessing customer requirements for the Product, including modifications and improvements thereto, in terms of quality, design, functional capability, and other features; and
5.3.4 submit market research information, as reasonably requested by Micrus regarding competition and changes in the market within the Territory.
Customer and Sales Reporting. Distributor shall, at its own expense and consistent with the sales policies of INFRAREDX:
(i) Place the Products in Distributor’s catalogues, both printed and electronic, including websites, as soon as possible and feature the Products in any applicable trade show that it finds appropriate;
(ii) Maintain adequate contact with existing and potential customers within the Territory on a regular basis, consistent with good business practice, which shall include but shall not be limited to maintaining a list of its Product customers including the customer name and address, the customer point of contact, the customer telephone and facsimile numbers, Product serial number and Product installation date and location, software revision level or upgrade level;
(iii) Assist INFRAREDX in assessing customer requirements for the Products, including modifications and improvements thereto, in terms of quality, design, functional capability, and other features; and
(iv) Prepare accurate and orderly business and accounting records concerning its inventories and sales of the Products. Distributor shall maintain these records for a period of at least two years after any calendar quarter to which they apply. Distributor shall provide INFRAREDX with copies of such records within fifteen (15) days of any written request by INFRAREDX; and
(v) On the Effective Date and thereafter at the beginning of each calendar year, provide INFRAREDX with a report containing information concerning the following: (A) Distributor’s quarterly sales volumes for each of the Products during the period covered by the report; (B) Distributor’s promotional activities regarding the Products, both during the period covered by the report and for the upcoming year; (C) a summary of current market conditions for the Products, including information concerning introductions, promotional activities and sales levels of products competitive with the Products; and (D) additional market research information, as reasonably requested by INFRAREDX, regarding competition and changes in the market within the Territory, including without limitation identification of competing products, market prices and market trends.
Customer and Sales Reporting. Agent shall, at its own expense, and in a manner consistent with the sales policies of Company: (a) attend a reasonable number of trade shows as Company requests; (b) provide adequate contact with existing and potential customers within the Territory on a regular basis; and (c) assist Company in assessing customer requirements for the Products.

Representative shall, at its own expense, and in a manner consistent with the sales policies of Company: (a) attend a reasonable number of trade shows as Company requests; (b) provide adequate contact with existing and potential customers within the Territory on a regular basis; and (c) assist Company in assessing customer requirements for the Products.

Distributor shall, at Distributor's own expense and consistent with the sales policies of the Company : (A) provide adequate contact with and service to existing and potential customers within the Territory on a regular basis, consistent with good business practice.; and (B) assist the Company in assessing customer requirements for the Products, including modifications and improvements thereto, in terms of quality, design, functional capability, and other features.
Customer and Sales Reporting. LEXG shall, at its own expense, and in a manner consistent with the sales policies of Glottech: (i.) attend a reasonable number of trade shows as Glottech requests; (ii.) provide adequate contact with existing and potential customers within the Territory on a regular basis; and (iii.) assist Glottech in assessing customer requirements for the Technology.
Customer and Sales Reporting. Distributor shall, at its own expense and consistent with the sales policies of Manufacturer:
i) place the Products in Distributor’s catalogues as soon as possible and feature the Products in any applicable trade show that it attends;
ii) provide adequate contact with existing and potential customers within the Territory on a regular basis, consistent with good business practice and inform Manufacturer of the names of existing customers;
iii) assist Manufacturer in assessing customer requirements for the Products, including modifications and improvements thereto, in terms of quality, design, functional capability, and other features;
iv) submit market research information, as reasonably requested by Manufacturer, regarding competition and changes in the market within the Territory;
v) keep records on all Manufacturer console technology including location, order information, services performed and any pertinent customer correspondence for an indefinite period of time, and make said records available for review by Manufacturer personnel or Manufacturer-designated individuals upon request; “console technology” includes BVS 5000, AB 5000, IMPELLA, and any new non-disposable technology that is introduced into Manufacturer’s line of products;
vi) provide Manufacturer with any clinical data gathered for Products during the investigational stage for government approval; and
vii) keep records on all Manufacturer disposable products including location, order information, expiration details and any pertinent customer correspondence for a period of three (3) years from date of product shipment, and make said records available for review by Manufacturer personnel or Manufacturer-designated individuals upon request; “disposable products” includes BVS Blood Pump Sets, Cannula, AB Ventricles, IMPELLA RECOVER LP 2.5 Pump, IMPELLA RECOVER LP 5.0 Pump, and any new disposable technology that is introduced into Manufacturer’s line of products.
Customer and Sales Reporting. Distributor shall at its own expense and consistent with the marketing and distribution policies of Somnus from time to time:
(a) provide adequate contact with existing and potential customers within the Territory on a regular basis, consistent with good business practice;
(b) keep Somnus promptly apprised of potential competitors and competitive products in the Territory;
(c) assist Somnus in assessing customer requirements for the Products, including modifications and improvements thereto, in terms of quality, design, functional capability, and other features;
(d) submit market research information, as reasonably requested by Somnus, regarding competition and changes in the market within the Territory;
(e) with respect to each RF Generator sold pursuant to this Agreement, provide Somnus with the name and address of each purchaser of such Generator, the serial number of such Generator, and the telephone and facsimile numbers of each such purchaser;
(f) provide Somnus, as frequently as reasonably requested by Somnus, but not more often than once every two months, with a list of Distributor's customers, their addresses, the quantities and types of Products purchased by such customers; and
Customer and Sales Reporting. Distributor shall, at its own expense and consistent with the sales policies of Manufacturer:
i) Place the Products in Distributor’s catalogues as soon as possible and feature the Products in any applicable trade show that it attends;
ii) Provide adequate contact with existing and potential customers within the Territory on a regular basis, consistent with good business practice;
iii) Assist Manufacturer in assessing customer requirements for the Products, including modifications and improvements thereto, in terms of quality, design, functional capability, and other features;
iv) Submit market research information, as reasonably requested by Manufacturer, regarding competition and changes in the market within the Territory; and
v) Provide Manufacturer with the clinical data gathered during the investigational stage for government approval.
Customer and Sales Reporting. Fukuda shall, at its own expense.
(i) place the IVUS Products in Fukuda’s catalogues as soon as possible and feature IVUS Products in any applicable trade show that it attends to the extent Fukuda thinks fit;
(ii) provide adequate contact with existing and potential customers within the Territory on a regular basis, consistent with good business practice;
(iii) assist EndoSonics in assessing customer requirements for the IVUS Products, including modifications and improvements thereto, in terms of quality design, functional capability, and other features;
(iv) submit market research information, as reasonably requested by EndoSonics, regarding competition and changes in the market within the Territory; and
(v) provide EndoSonics with a report, by product type, of all sales of IVUS Products for each quarter no later than thirty (30) days following the end of such quarter.
