Customer Restriction. Each of Seller and Xxxxxxx covenants and -------------------- agrees that it or he shall not, for a period of five years from and after the Closing Date, working alone or in conjunction with one or more other persons or entities, for compensation or not, (i) provide or offer to provide to any Customer (as such term is hereinafter defined) any product or service similar to that offered by Seller immediately prior to the Closing Date, or (ii) induce or attempt to induce any Customer to withdraw, curtail or cancel its business with Buyer or any of its subsidiaries or affiliates or in any manner modify or fail to enter into any actual or potential business relationship with Buyer or any of its subsidiaries or affiliates. As used in this Section 6.1, the term "Customer" means (i) any -------- person or entity for whom Seller provided any service on or prior to the Closing Date or to whom Seller provided any product on or prior to the Closing Date; or (ii) any person or entity for whom Buyer or any of its subsidiaries or affiliates provided or provides services relating to the electrical products business after the Closing Date or to whom Buyer or any of its subsidiaries or affiliates provided or provides a product relating to the electrical products business after the Closing Date.

For so long as the Employee is employed by the Company, Employee covenants and agrees that Employee shall not, working alone or in conjunction with one or more other persons or entities, for compensation or not, (i) provide or offer to provide to any Customer any products or services which are the same as or are sold in competition with those offered by Company, its related parties, subsidiaries or affiliates, or (ii) induce or attempt to induce any Customer to withdraw, curtail or cancel its business with Company its related parties, subsidiaries or affiliates.

Participant agrees that for a period of 12 months from the Termination Date, Participant will not, working alone or in conjunction with one or more other persons or entities, for compensation or not: (a) solicit, assist in soliciting, facilitate Exhibit 10.9 the solicitation of, provide, or offer to provide services to any and all customers of an Atlas Affiliate as to which Participant had contact, provided services or received Confidential Information about in the Look Back Period (“Covered Customer”) for the purpose of providing a Competing Product or Service; or (b) induce or attempt to induce any Covered Customer to withdraw, curtail or cancel its business with the Atlas Affiliate or in any other manner modify or fail to enter into any actual or potential business relationship with the Atlas Affiliate. In the event that the covenants and restrictions of this provision are in conflict with any other employment related document executed by Employee, then this Agreement controls and supersedes all other documents for purposes of this clause.

As used in this Section 7.1, the term “Customer” means (i) any person or entity for whom Seller provided galvanizing services on or prior to the Closing Date or to whom Seller provided any galvanizing related product on or prior to the Closing Date; or (ii) any person or entity for whom Buyer or any of its subsidiaries or affiliates provided or provides galvanizing services after the Closing Date or to whom Buyer or any of its subsidiaries or affiliates provided or provides a galvanizing related product after the Closing Date.

Each Seller covenants -------------------- and agrees that he, she or it shall not, for a period beginning on the Closing Date and ending on the fifth anniversary of the Closing Date, working alone or in conjunction with one or more other persons or entities, for compensation or not, (i) provide or offer to provide to any Customer any product or service that is a competing product or service to that offered by the Company or its Subsidiaries immediately prior to the Closing, or (ii) induce or attempt to induce any Customer to withdraw, curtail or cancel its business with the Company or any Subsidiary or Buyer or in any manner adversely modify any actual or potential business relationship with Buyer, the Company or any Subsidiary.

This restriction shall in no way prohibit the Shareholders from continuing to provide Customers with those services they currently provide by or through Pet Enterprises Total Services, Inc., d/b/a Willow Pet Hotel, Animal Travel Agency or All Dog Grooming (collectively "Pet Enterprises"), but the Shareholders and Pet Enterprises may not offer services or products through catalog or internet sales.
